Emerging Companies & Venture Capital (ECVC) Associate - For CarterWill Search

CarterWill Search is seeking a Corporate Associate to join a technology-focused AmLaw corporate practice in New York. This role provides the opportunity to work on venture capital, emerging company, and M&A transactions, advising clients across the growth and startup ecosystem.

The ideal candidate will have 2–4 years of law firm experience, with a strong academic background and excellent verbal, written, and interpersonal skills. Responsibilities include:

• Advising clients on corporate transactions and venture financings

• Drafting and negotiating transaction documents

• Conducting legal research and preparing memoranda

• Collaborating closely with partners and clients throughout deal execution

• 2–4 years of corporate law experience, preferably in venture capital or M&A

• JD from an ABA-accredited law school

• Strong academic credentials and analytical skills

• Excellent drafting, negotiation, and client counseling abilities

• Ability to manage multiple transactions efficiently while maintaining attention to detail

This position offers a salary range of $235,000–$310,000, discretionary merit bonuses, and a comprehensive benefits package including wellness reimbursements, healthcare coverage, family-building benefits, and support for working parents.
