THE DIFFERENCE YOU MAKE

CIB is looking for an ECM Analyst II based out of Madrid. You will play a central role in the origination and execution of equity and equity-linked transactions, taking ownership of key workstreams and acting as a critical link between clients, internal teams and external advisors.

You will be actively involved in IPOs, rights issues, accelerated bookbuilds (ABBs), block trades, convertible bonds and public takeover advisory mandates.

This role requires strong technical expertise, capital markets judgment, execution discipline and the ability to operate effectively in fast-paced, high-visibility situations.

Transaction Execution Leadership

•            Lead day-to-day execution of equity and equity-linked transactions

•            Take ownership of specific workstreams, ensuring timely and high-quality delivery

•           Coordinate drafting sessions (prospectus, offering circulars, investor presentations, announcements)

•            Manage transaction timetables and ensure alignment across legal, auditors, client management and internal teams

•            Supervise analysts and review financial models, valuation outputs and marketing materials

•            Actively participate in structuring discussions and pricing strategy

Capital Markets & Investor Insight

•            Conduct in-depth market analysis, including sector performance, valuation trends and window assessment

•            Contribute to equity story positioning and investor targeting strategy

•            Participate in pilot fishing, wall-crossing processes and investor education

•            Work closely with Equity Syndicate and Equity Sales to assess demand, orderbook dynamics and pricing considerations

•            Develop a strong understanding of investor behavior and bookbuilding mechanics

Financial & Valuation Expertise

•            Build and review advanced financial models, including:

•            DCF and trading comparables

•            Discount to TERP analysis (rights issues)

•            EPS accretion/dilution modelling

•            Free float and liquidity analysis

•            Index inclusion impact

•            Convertible bond valuation basics

•            Perform comparative analysis across peers and market transactions

•            Support pricing decisions through sensitivity and scenario analysis

Origination & Commercial Support

•            Support senior bankers in developing strategic capital markets ideas

•            Prepare high-quality pitch materials and sector updates

•            Monitor ECM activity and pipeline across sectors

•            Identify emerging opportunities and market themes

•            Contribute to strengthening client relationships and franchise positioning

Risk & Governance

•            Prepare internal committee materials (risk, underwriting, capital allocation)

•            Assess transaction risk profile and capital implications

•            Contribute to internal budgeting and revenue tracking

•            Ensure strict compliance with regulatory and internal control frameworks

Professional Experience

Minimum 2–3 years of experience in:

  • Investment Banking (Corporate finance preferred) (Required)

  • Equity Capital Markets (Required)

  • Equity Research, Asset Management or related capital markets roles (Required)

  • Demonstrated involvement in live equity or equity-linked transactions (Required)

Education

  • Bachelor’s degree in Business, Economics, Finance, Engineering or related discipline with strong academic performance

  • Master’s degree in Finance or equivalent( Preferred)

  • CFA, ACA or similar professional qualification is a plus

Languages

  • Excellent written and verbal communication skills in English (Spanish required) (Required)

  • Strong financial modelling and valuation capabilities. (Required)

  • Deep understanding of equity markets and transaction mechanics. (Required)
