Department Overview:

The Advisory and Contract Execution ("ACE") Team is an integral part of TD Securities. ACE is a client facing team responsible for advisory services across trading desks and clients through capital markets deal origination including execution of regulatory and legal trading agreement requirements globally. This team maximizes revenue generation, ensures alignment with TD’s risk appetite, and delivers a client-centric experience. This is an opportunity to join a fast-growing team with high internal visibility at the senior executive level.

Job Description:

The position will be responsible for providing best-of-class service to clients of TD Securities predominantly in APAC region and internal business partners by preparing and negotiating capital markets legal agreements  with global counterparties for trading products such as derivatives, foreign exchange and fixed income products, i.e., ISDA Master Agreements, collateral documentation, sec. lending and repo agreements. The position must ensure that the Bank is sufficiently protected from legal, risk, and operational perspectives in all such trading documents and other legal documentation between the Bank and its counterparties. The position will be required to build and maintain strong relationships with all stakeholders across the Bank and be available to service the deal flow with tight deadlines from global desks.

 Principal Responsibilities:

  • Ensure delivery of transactional advisory and negotiation of global capital markets agreements across specific trading products, while aligning with internal risk, legal, regulatory and governance frameworks.
  • This candidate will be responsible for regulations in the APAC region.
  • Ensure that the Bank is adequately protected in all of its dealings by preparing and negotiating trading documents, including ISDA Master Agreements & CSAs, related credit support documentation, GMRAs, GMSLAs and other legal documentation between the Bank and its counterparties.
  • Lead or participate in internal calls with stakeholders, as well as calls with clients and external legal counsel, to discuss issues that arise during negotiations of trading agreements.
  • Provide advice and guidance on trading documentation to local desks and stakeholders in the region and provide client centric solutions to issues that arise.
  • Understand the current state of legislation, regulation, and guidance with respect to OTC derivative transactions in the APAC region (for example Singapore, Japan, Hong Kong, South Korea and Australia).
  • Assist in communicating OTC derivative regulatory requirements to clients and their legal representatives in a business-friendly manner in order to finalize regulatory documentation.
  • Ensure support and guidance is provided to trading desks in a timely manner across several time zones including Asia, Europe, and North America.
  •  Liaise and coordinate with internal stakeholders, such as Credit, Business, Tax, Legal, Operations, Portfolio Valuation Group and Collateral Management, during the documentation negotiation process.
  • Provide timely updates to the Business on the status of negotiations, whether via weekly calls or through the team's internal document tracking system.
  • Develop a solid understanding of the Bank’s requirements in areas of global regulatory framework, credit and documentation.
  • Candidates will be called upon to lead or participate in a range of projects relating to the legal and regulatory aspects of derivatives products.
  • Leadership: provide effective leadership, representing ACE Team in APAC; manage business priorities and requirements.
  • Utilize technology to track and monitor workflow and update databases with required information.

Job Requirements:

  • Law degree is required.
  • Minimum 10 years of solid trading documentation experience in the APAC region.
  • Understanding of APAC regulations is preferred, such as Singapore, Japan, Hong Kong, South Korea, Australia, and other G20 regulations in derivatives in the region.
  • The candidate for this position will enjoy working on documentation, be able to effectively apply legal and sound regulatory risk management principles.
  • Excellent written and verbal communication skills.
  • Self-motivated with the ability to work independently while understanding when to involve other team members as needed and to work effectively in a team environment.
  • High degree of integrity and strong work ethic. Timely follow through on commitments. Promote best practices within department and execute assigned duties and enhance control over procedures.
  • The candidate should be able to work under tight deadlines and have the flexibility to support global time zones as required.
  • Demonstrated management skills and commitment to delivering results within aggressive timelines.
