- Advising clients on transaction structure, deal risk allocation, and execution strategy across acquisitions and sales.
- Managing and coordinating legal due diligence for both buyers and sellers, including issue spotting, risk assessment, and remediation strategies.
- Supporting venture capital and growth-stage transactions, particularly where tied to acquisition or exit planning.
- Counseling clients on post-closing integration, divestiture matters, and ongoing corporate governance.
- Collaborating closely with internal teams and external advisors to drive efficient, on-time closings.
- Staying current on U.S. and international corporate, M&A, and securities law developments affecting transactional work.
Qualifications

- Admitted to practice in Massachusetts or eligible for prompt admission.
- 4+ years of corporate transactional experience, with a clear emphasis on buy-side and sell-side M&A transactions, at a comparable law firm.
Desired Attributes & Skills
- Demonstrated experience representing public and private companies on both the buy-side and sell-side; experience with related securities laws strongly preferred.
- A deal sheet reflecting meaningful M&A experience is expected.
- Excellent drafting, negotiation, and analytical skills, with the ability to manage complex transactions independently.
- Strong attention to detail and ability to run multiple deals simultaneously in a fast-growing corporate practice.
- Proven ability to work both independently and collaboratively, with a willingness to mentor and manage junior team members.
