Job Overview: We are seeking a Corporate Legal Counsel who will serve as a hands-on, business-oriented legal advisor across Sol-Millennium’s global operations. This role is highly transactional, supporting contracts, governance, and compliance matters, while also engaging with stakeholders across North America, Europe, and APAC.
This is not a role managing a large legal department, it is suited for a self-starter and generalist who thrives in a dynamic environment, is comfortable coordinating across time zones, and brings a commercial mindset to legal challenges.
This role is located at our global HQ in downtown Chicago and operates on a hybrid schedule.
Responsibilities:
- Draft, review, and negotiate various commercial and transactional agreements including sales agreements, vendor contracts, MSAs, NDAs, and SaaS agreements.
- Provide practical, business-minded legal advice that supports commercial objectives while ensuring compliance.
- Strategically and cost-effectively manage and partner with outside counsel.
- Partner with internal stakeholders (HR, Finance, Commercial, Operations) to align legal solutions with business priorities.
- Support corporate governance matters, including board resolutions and entity compliance.
- Assist with transactional work such as M&A diligence, restructuring efforts, and strategic projects.
- Advise intellectual property matters including trademarks and licensing.
- Public company filings and board oversight
- Stay updated on relevant legal developments and proactively communicate potential impacts to the business.
Required Qualifications:
- 4-6+ years of relevant experience at a law firm and/or in-house.
- Juris Doctor (J.D.) from a law school accredited by the ABA.
- Member of a state bar in good standing.
- Demonstrated ability to thrive in a rapidly changing environment and to navigate ambiguity with ease.
- Strong background in transactional and commercial contracts, with demonstrated ability to draft and negotiate
- Experience interacting with or coordinating external counsel across global regions (APAC experience strongly preferred)
- Comfortable balancing competing priorities and working across time zones.
Preferred Qualifications:
- Prior experience with healthcare, manufacturing, and/or distribution.
- Experience in one or more of the following: commercial transactions, litigation, contracts, employment law, or corporate governance.
- Exposure to corporate governance and public company matters.
- Familiarity with employment and compliance law.
- Strong interpersonal skills and ability to build relationships with stakeholders across geographies.
