Responsibilities
- Side Letter Negotiation and Oversight: Negotiate side letters with prospective and existing investors. Work closely with internal business units—including Investor Relations, Compliance, and Operations—to ensure proper implementation and ongoing monitoring of side letter obligations. Summarize and present new side letter terms to CEO for approval.
- Fund and Separately Managed Account Launches: Support the launch and ongoing operations of hedge funds and separately managed accounts, including managing the legal aspects of fund structuring, formation, and registration processes.
- Fund Documentation: Draft, review, and negotiate fund-related documentation, such as offering memoranda, limited partnership agreements, investment management agreements, subscription materials, and related ancillary documents.
- Outside Counsel Management: Coordinate with and supervise outside counsel to ensure consistency, efficiency, and alignment with internal standards across fund formation, side letter, transactional, regulatory, and governance matters.
- Regulatory Filings and Compliance Coordination: Partner with the Compliance team on a variety of regulatory matters, including the preparation and review of regulatory filings (e.g., Form ADV, Form PF, CPO-PQR, Blue Sky filings) and advising on marketing materials.
- Governance and Board Support: Assist with general corporate governance matters, including preparing and maintaining governance documents, managing entity records, and supporting the preparation and execution of board and committee meetings.
- Cross-Functional Legal Support: Collaborate with various internal stakeholders to provide legal guidance that supports the firm’s broader business initiatives and helps maintain a strong culture of compliance and risk management.
Requirements
- J.D. degree
- Strong record of academic achievement and 3-5 years of relevant work experience
- Big law experience in an Investment Management/Private Funds/Investment Funds group
- Experience negotiating side letters and ability to summarize provisions in plain English for the business team
- Significant exposure to complex commercial, corporate, or transactional matters
- Superior organizational and project management acumen and a keen eye for detail
- Efficient productivity; capability to bring projects to fruition in a commercially viable manner; someone with a proven track record of delivering results, both small and large
- Demonstrably excellent analytical abilities; drafting and verbal communication skills; sound judgment; and a ‘can-do’ cooperative attitude
- Successful in managing multiple tasks/projects with competing deadlines
- Willingness to expand legal practice to new areas of the law, including international regulations
- Working knowledge of relevant portions of key investment management laws and regulations (e.g., Securities Act, Investment Advisers Act, Commodity Exchange Act, Investment Company Act and ERISA)
- Familiarity with trading agreements (e.g., prime brokerage and ISDA agreements) is a plus
- Authorization to work in the United States
