Corporate Secretarial - Assistant Manager / Manager (6 months contract)

The position
Global Capital Markets is dedicated to the administration of loans, project finance, securitization, escrow, covered bonds, property trusts and REITs. We provide corporate trustee and agency as well as SPV administration services to the international capital markets in the capacity of trustee, security agent, paying agent, escrow agent, facility agent and corporate services provider.
In general, we are responsible for managing orphan SPVs, escrows, bonds, loans as well as restructuring of distressed debt. We interact closely with capital providers (funds, banks, family offices etc), lawyers and financial advisers and review and agree documentation. Each situation is unique and requires sound knowledge of the capital markets.
Some of the things you'll be doing:
You will be responsible for a portfolio of clientele which includes private and public limited companies and foreign companies in the area of advisory and compliance with company legislations and regulations.
Responsibilities
- Handle all corporate secretarial matters for a portfolio of Singapore companies including drafting the documents for AGM, EGM, board resolutions, striking off, etc.
- Perform Singapore company's administration duties including upload of financial statements in XBRL format and lodgment of changes and annual return with ACRA
- Ensure all on-going statutory, legal and transactional obligations of SPVs are met and ensure good corporate governance throughout.
- Work with the management and team on corporate governance and company secretarial matters to assist in managing, mitigating and monitoring corporate governance risk.
- Responsible for the set up and ongoing management of a portfolio of assigned transactions to ensure that the duties and obligations required as a company secretary are promptly fulfilled or discharged professionally.
- Assist the Head of Capital Markets in implementing procedures and policies in relation to operational efficiency and quality of service delivery.
What technical skills, experience, and qualifications do you need?
- Candidates with strong legal and transaction management experience in capital markets will be highly regarded.
- Very strong analytical and problem-solving skills with sound knowledge of corporate secretarial work.
- Details oriented, diligent, strong team-player and ability to work independently. Accomplished in producing results and solving problems under pressure to meet aggressive deadlines.
- Strong interpersonal and negotiation skills.
- Leadership and organizational skills are required to manage the portfolio of deals and to develop the skills of other team members.
- Excellent written and verbal communication skills (English and Chinese).
Preferred Qualifications:
- Institute of Chartered Secretaries and Administrators (ICSA) qualification
- Diploma in Business Administration/Commerce/Law with a minimum of 5-7 years' relevant corporate secretarial experience
