Description:

Under the direction of the Director of Legal Operations, the Contracts Specialist 2 independently reviews, negotiates, and administers moderately complex commercial customer agreements, applying sound judgment to balance business objectives, customer needs, and appropriate risk management. This role assists with contract redlines, operations, and internal stakeholder support while also demonstrating a deeper understanding of contract negotiations, procurement processes, and company contracting practices

What You'll Do:

• Review, draft, negotiate, and administer moderately complex SaaS agreements, MSAs, software licensing agreements, custom amendments, DPAs, BAAs, public procurement terms, and related documents in accordance with company policies
• Own assigned agreements through the full lifecycle and coordinate timely input, approvals, execution, renewal, amendment, and termination, including operating effectively during time-sensitive and business-critical situations, such as month or quarter-end cycles, or other key deadlines
• Identify contractual, operational, regulatory, security, privacy, revenue, and commercial implications; escalate high-impact issues with options and a recommendation
• Lead customer-facing negotiations and internal deal discussions for assigned matters, and participate in calls or meetings as required
• Partner with Sales, Customer Success, Finance, Product, Security, Compliance, Legal Operations, and Proposals to align commitments with policy and business objectives and to provide guidance regarding contract generation
• Interpret industry regulations and contract terms and provide practical guidance on obligations, risk, process, and approved alternatives
• Ensure accurate contract records, approvals, obligation handoffs, and lifecycle data in Salesforce and designated repositories
• Proactively provides regular updates and communicates contract status to leadership and assigned account team members as applicable
• Recommend or lead improvements to templates, clause guidance, intake, approvals, reporting, and workflow consistency
• Assist team members and model effective workload prioritization
• Perform additional duties or tasks as assigned

Requirements:

• Degree or Paralegal certification, or the equivalent combination of education and relevant experience
• Experience in contract management, including reviewing, writing, redlining, file management, and negotiating, preferably at a SaaS organization in healthcare, government procurement, or a related field that is highly regulated
• High attention to detail and strong analytical, problem-solving, and critical thinking skills
• Strong interpersonal and communication skills, both verbal and written,, including the ability to present, negotiate and influence others to achieve results
• Strong project management, organization, and time management skills with the ability to manage multiple priorities, competing deadlines, and changing project requirements
• Working knowledge of CRM & ERP systems, and of the data flow between sales, contracts, and finance teams, preferably Salesforce or other similar platforms
• Ability to work independently within a highly collaborative and team-oriented environment
• Strong technical aptitude with proficiency in Microsoft Office Suite (Outlook, Word, Excel, and PowerPoint) and the ability to quickly learn new systems and workflows
• Ability to maintain discretion when handling proprietary and confidential information
• Enthusiasm for learning and expanding knowledge or skills
• Strong work ethic, integrity, honesty, collaboration, and team orientation
• Ability to travel as required, up to 10%

Position Salary Range: The annual base salary range for this full-time role is $65,000- $85,000 USD + bonus + benefits + perks + community gains. Within the range, individual pay is determined by job-related skills, education or training and other relevant qualifications.
