Reports to: Senior Managing Counsel
Position Overview
We are looking for a motivated, strategic-thinking commercial counsel to join our growing legal. In this role, you will be responsible for commercial contracting, handling negotiations of a wide range of agreements and providing related legal support. You will also play a key role in shaping policies, processes and resources to help our legal department scale as the business grows and contributing to related initiatives.

  • Independently review, draft, and negotiate a broad range of agreements such as SaaS/subscription agreements, technology licensing, services agreements, consulting, and other contracts ranging in substance and complexity, flagging positions appropriate for escalation.
  • Lead as a primary support for all vendor/procurement contracting needs across engagement types.
  • Redline, negotiate, and handle end-to-end contracting on client-facing engagements as needed.
  • Manage workflows governing intake, review and approval with high volume of contracting requests, identifying appropriate prioritization based on business needs.
  • Collaborate with Contract Specialist team and assist with negotiations and related legal escalations.
  • Work with other stakeholders, such as privacy and security teams, on agreement review and negotiation.
  • Assist with projects related to template, playbook and other resource creation and updates.
  • Contribute to process and policy improvements regarding contract support to help legal team scale and ensure best-in-class support.
  • Handle ad-hoc projects across a spectrum of complex business, legal and strategic issues.
  • Partner with sales, procurement, product, operations and other internal stakeholders to provide legal advice on issues pertaining to Paylocity's products and services, contract disputes, and related matters.


Requirements

  • JD required and license to practice law in the US.
  • 3+ years' relevant experience.
  • Demonstrated ability to independently review, draft and negotiate a wide range of commercial agreements of varying complexity in a fast-pace and evolving environment.
  • Experience with SaaS contracting, data privacy and intellectual property as it pertains to contracts a plus.
  • Strategic thinker that enjoys tackling new challenges and finding solutions.
  • Deep understanding of contract drafting principles and related risk assessment in deal negotiation.
  • Detail-oriented with focus on organization, efficiency and time management.
  • Great communication skills and desire to build solid relationships with business stakeholders and colleagues.
  • Highly motivated and eager to contribute to our talented and collaborative team!

This role can be performed from any office in the US. The pay range for this position is $120,000 - $135,000/yr; however, base pay offered may vary depending on job-related knowledge, skills, and experience. This position is eligible for an annual bonus and restricted stock unit grant based on individual performance in addition to a full range of benefits outlined here. This information is provided per the relevant state and local pay transparency laws for the location in which this position will be performed. Base pay information is based on market location.
