Position Overview:

Masterworks is seeking a talented and motivated Associate General  Counsel to join our legal and compliance team, reporting directly to the General Counsel. As Associate General Counsel, you will play a crucial role in the company's SEC filings and compliance with applicable U.S. federal securities laws, corporate transactions, and a broad range of general corporate matters. Our ideal candidate is a top legal athlete: a sharp, rigorous, intellectually versatile lawyer who learns fast, solves problems creatively, and delivers practical answers in a fast-paced, collaborative environment.

Key Responsibilities:

  • Preparing and reviewing offering circulars, ongoing Regulation A reporting, and related SEC filings, and supporting compliance with U.S. federal securities laws across the company's offering, trading, and investor communication activities
  • Assisting with regulatory analysis relating to the company's investment vehicles and new product structures
  • Supporting corporate transactions, including financings, strategic partnerships, reorganizations and similar corporate transactions
  • Drafting and negotiating commercial arrangements and agreements with business partners, vendors, and service providers
  • Preparing and maintaining governance documents for the company's investment vehicles and parent entity, and assisting in the development and implementation of compliance policies, procedures, and controls
  • Providing support across employment/HR matters, intellectual property, data privacy, Terms of Use, marketing review, and other general corporate matters, working cross-functionally with the financial operations, marketing, HR, and art acquisition teams

Requirements and Preferred Skill Sets:

  • 4 - 7 years of experience as a practicing attorney, with some experience at a nationally recognized law firm strongly preferred
  • A securities, capital markets, M&A, funds, or general corporate background is preferred, but we will prioritize exceptional ability over directly relevant experience; familiarity with the Securities Act of 1933 and the Investment Company Act of 1940 is helpful, but not required
  • J.D. with outstanding academic credentials; admitted to a U.S. state bar in good standing
  • Demonstrated facility with technology, including fluency with AI tools and a genuine interest in integrating them into legal workflows
  • A business-minded professional capable of balancing legal and compliance considerations with business objectives
  • Exceptional attention to detail, analytical rigor, practical commercial judgment, and excellent written and verbal communication skills

Measurements of Success:

  • Timely, accurate completion of SEC filings and ongoing Regulation A reporting obligations
  • Quality and turnaround time of contract drafting, negotiation, and legal review across business teams
  • Successful implementation and maintenance of governance and compliance policies and procedures
  • Ability to independently manage workstreams and provide practical, business-oriented legal guidance with minimal supervision over time
  • Effective cross-functional collaboration, measured by feedback from internal business partners
Benefits at Masterworks:
  • Daily catered lunches, Free admission to art museums and galleries, Health, dental, and vision coverage with FSA options, paid parental leave, PTO and 401k, Happy hours, company outings, and more!

How does Masterworks think about compensation?

The compensation range for the role is $175K - $225K (inclusive only of base salary, and exclusive of other potential competitive benefits such as on-target commission, bonus payments, and equity). Our ranges are very broad to accommodate all types of candidates and encourage growth. Specific compensation offered to a candidate may be dependent on factors such as education, experience, qualifications, and alignment with market data. Exceptional candidates may receive salaries outside of the posted ranges.

Skills Required

  • 4-7 years of experience as a practicing attorney
  • Experience at a nationally recognized law firm
  • Securities, capital markets, M&A, funds, or general corporate background
  • Familiarity with the Securities Act of 1933 and the Investment Company Act of 1940

  • Admitted to a U.S. state bar in good standing
  • Demonstrated facility with technology, including fluency with AI tools
