Job Description

As an Associate within our Secretarial team, you’ll play a key role in supporting a range of corporate governance and regulatory activities while building your technical expertise. Working closely with senior team members, you’ll assist with corporate actions, statutory filings, and compliance processes—ensuring all deliverables are accurate, well‑presented, and meet high‑quality standards in a structured and collaborative environment.

What You Will Do 

  • You’ll support day‑to‑day corporate secretarial activities, including preparing board packs, organising annual meetings, drafting resolutions, and updating statutory registers and internal systems such as Microgen 5Series.
  • You’ll assist with corporate actions such as director and auditor changes, share transactions, bank mandate updates, and registered office changes, ensuring all filings and notifications are completed with relevant authorities (ROC, FSC, and other stakeholders).
  • You’ll perform AML/KYC due diligence on directors, shareholders, investors, and related parties, follow up on outstanding documentation, and escalate any gaps in line with regulatory requirements.
  • You’ll support regulatory, compliance, and operational processes by preparing payment instructions, TRC applications, licence renewals, reports, and assisting with inspections, audits, and ongoing governance requirements.
  • You’ll maintain high‑quality records by updating systems and planning tools, managing document filing (electronic and physical), supporting ad‑hoc assignments, and proactively flagging client or service issues.

Qualifications

About You 

  • You hold a relevant degree or are progressing toward a professional qualification (e.g. ICSA, ACCA, or similar), and you’re eager to build a career in corporate secretarial services.
  • You have some experience in a corporate services, legal, or financial services environment, giving you a basic understanding of governance processes.
  • You have a good understanding of corporate administration and regulatory frameworks, and you’re keen to develop your technical knowledge further.
  • You are organised, detail‑oriented, and proactive, with the ability to manage multiple tasks and meet deadlines in a structured environment.
  • You are a strong team player with good communication skills, comfortable working with internal teams, clients, and external stakeholders.

Skills Required

  • Relevant degree or progression toward a professional qualification (e.g., ICSA, ACCA)
  • Some experience in corporate services, legal, or financial services environment
  • Understanding of corporate administration and regulatory frameworks
  • Experience with corporate secretarial tasks (board packs, statutory registers, filings)
  • Experience performing AML/KYC due diligence
