The Opportunity

Primary objectives:

• To support the Corporate M&A team in Luxembourg and work closely with colleagues across Herbert Smith Freehills Kramer on domestic and cross-border transactions for asset managers, investment firms, private equity sponsors, alternative investment funds, financial institutions and industrial clients.

• To gain exposure to leading international clients and complex multi-jurisdictional transactions, collaborating with colleagues across the firm's global network.

• To provide high-quality legal support across the full corporate lifecycle, including corporate governance, private and public M&A, joint ventures, group restructurings and management incentive plans.

• To assist in the execution and management of transactions, coordinating effectively with clients, external advisers, local counsel and colleagues across jurisdictions.

• To contribute to the delivery of excellent client service across a wide variety of sectors, including private capital, real estate, financial services, global technology, banking anshapd industry.

Key responsibilities:

• Draft, review and negotiate corporate transaction documents, ancillary documentation and corporate approvals under appropriate supervision.

• Assist with legal due diligence, transaction management, signing and closing processes on domestic and cross-border matters.

• Advise on corporate governance, company law matters, restructurings, joint ventures and management incentive arrangements.

• Coordinate effectively with clients, colleagues across practice groups and jurisdictions, and external advisers.

• Carry out legal research and contribute to client updates, know-how and business development initiatives.

• Build strong working relationships with clients and internal teams, demonstrating responsiveness, attention to detail and sound judgement.

• Develop direct client exposure and progressively assume responsibility for transaction workstreams under the guidance of experienced partners and senior associates.

Qualifications, skills and experience

• Qualified Luxembourg lawyer (CCDL), with ideally 1 to 3 years’ experience in Corporate M&A gained in a Luxembourg law firm. Application from lawyers admitted or eligible for admission to a European bar with up to 3 years’ experience will also be considered.

• Strong academic background in law; an LL.M. or other postgraduate qualification would be an advantage.

• Excellent written and spoken English; fluency in French or German is strongly preferred.

• Strong drafting, analytical and organisational skills, with the ability to manage competing priorities in a fast-paced transactional environment.

• Client-focused, collaborative and proactive, with excellent communication skills and a commitment to delivering high-quality work.

• Commercially minded, with sound judgement and strong attention to detail.

• An innovative mindset and an interest in AI and emerging technologies.
