We are seeking an experienced and highly skilled In-House Corporate Attorney with significant expertise in securities law and sophisticated financing transactions. The ideal candidate will provide legal advice and support across a wide range of corporate matters, with a focus on securities offerings, regulatory compliance, and complex financial transactions. Your Responsibilities and Impact will include:
Securities Law Compliance: Advise the company on all matters related to securities laws, including compliance with the Securities Act of 1933, the Securities Exchange Act of 1934, and related SEC regulations (including periodic reporting, proxy rules, insider trading, and Section 16 compliance.
Securities Offerings: Provide legal advice and support for equity and debt offerings, including, public offerings, secondary offerings, private placements, reinsurance, and other financing transactions.
Corporate Governance: Advise senior management and the board of directors on corporate governance matters.
Financing Transactions: Structure, negotiate, draft documentation, and provide oversight for complex financing transactions, including syndicated loans, asset-based financing, secured and unsecured credit facilities and bonds, hedging structures as well as a range of private (including private placement memos), public, structured equity, and intercompany financings (including subordinated debt).
Mergers & Acquisitions (M&A): Assist in due diligence, negotiation, and execution of M&A transactions, focusing on securities and financing aspects.
Regulatory and Risk Management: Ensure compliance with relevant securities laws and other regulatory requirements and manage corporate risk associated with global capital markets and financing activities.
Legal Counsel to Business Units: Collaborate with various internal departments, including finance, treasury, tax, and investor relations, to provide legal guidance on transactional matters and strategic initiatives, including building and strengthening the Company’s financing flexibility, liquidity, and capacity.
Contract Review and Negotiation: Draft, review, and negotiate a wide variety of legal agreements related to financing, securities, and corporate transactions.
Stakeholder Communication: Serve as the primary legal liaison for investors, underwriters, regulatory authorities, and other external stakeholders regarding securities law matters and financing transactions.
Required skills and experience:
Juris Doctor (JD) degree from an accredited law school.
A member of the bar in good standing in all jurisdictions where licensed.
Minimum of 5-7 years of legal experience at a top-tier law firm and/or in-house legal department, with a focus on securities law and corporate finance.
Deep knowledge of U.S. securities laws and regulations, including the Securities Act, Exchange Act, Sarbanes-Oxley, Dodd-Frank, Gramm-Leach-Bliley, and SEC reporting requirements.
Demonstrated experience advising on sophisticated financing transactions, including debt and equity offerings and complex lending arrangements.
Strong drafting and negotiation skills, with experience handling high-value, complex transactions.
Excellent analytical and problem-solving skills, with the ability and bias toward independent action and execution while managing multiple projects in a fast-paced, entrepreneurial environment.
Proven ability to work cross-functionally and influence at all levels of the organization.
Exceptional interpersonal and communication skills, with the ability to effectively present legal advice to business leaders and external stakeholders.
Desired skills and experience:
Experience with healthcare and insurance industries
Experience with review of statutory filings
Exposure in leveraging AI tools to automate complex financial reconciliations, improve the accuracy of statutory filings, and streamline data collection across multiple jurisdictions.

Salary range: $175,00 - $225,000 /year plus equity
The pay range listed for this position is the range the organization reasonably and in good faith expects to pay for this position at the time of the posting. Once the interview process begins, your talent partner will provide additional information on the compensation for the role, along with additional information on our total rewards package. The actual base salary offered will depend on a variety of factors, including the qualifications of the individual applicant for the position, years of relevant experience, specific and unique skills, level of education attained, certifications or other professional licenses held, and the location in which the applicant lives and/or from which they will be performing the job.
