Job Description
This position offers the opportunity to work within a strong, collegial governance and securities team while supporting critical subsidiary governance activities, including board and committee processes, corporate records management, TPAG agreements, and regulatory compliance.Key Responsibilities
- M&A Activity - Support advisor practice acquisition program, including diligence, drafting, negotiating, and closing asset purchase agreements.
- Lending Activity – Support advisor loan program, including review of loan agreements.
- Financing Activity – Support gathering materials and supporting financing and capital markets transactions
- Public Company Securities Work - Conducting quarterly related party transaction canvass and summary to outline relationships between certain related parties.
- Supporting year-end public company disclosure obligations with focus on developing director & officer questionnaires and performing fact back-up requests for annual reports.
- Additional public company disclosure support including periodic review of public company peer disclosure and coordinating quarterly materials that assist the investor relations team.
- Entity management and other support to Corporate Secretary’s Office
- Manage consolidated Intercompany Agreement Database management
- SOX Certification related to intercompany agreements and answer Pwc and Internal Auditor’s queries
- Regulatory change and other projects in support of priorities for corporate, securities law and governance areas.
- Conducting legal research and summarizing various rules and regulations or other relevant documents.
- Manage multiple and changing priorities, expectations and concerns working closely with the business partners and the team members in a focused and responsive manner.
- Any other role as part of the larger GCO team.
Required Qualifications - Law Graduate with 5 – 7 years of experience in business law and corporate law. Experience with a publicly traded company or in M&A will be beneficial.
- Relevant legal experience, including but not limited to experience in analyzing public company securities work and related governance work as well as M&A documents and agreements,
- Must demonstrate excellent understanding of legal language and analytical skills.
- Results oriented, team player with the ability to work in a capacity with strict confidentiality, both inside and outside the organization
- Strong interpersonal and communication skills
- Ability to manage multiple concurrent activities and prioritize
- Good working knowledge of Microsoft Windows, Outlook, board portals and governance databases
