Title: Senior Commercial Counsel
Base Salary: $172,000 - $236,500 CAD
Work Model: Hybrid (2x per week WFH)
Office Location: Downtown Vancouver, B.C. (GeoComply's Corperate Headquarters)
GeoComply is growing our legal team. Here’s why this opportunity might excite you:
Our company started in 2011 as a group of 9 people developing a solution to a very specific problem: If betting online was legal in one state, how could companies stop their users placing bets the moment they stepped across the border?
It turns out accurate, spoof-proof data we collect does considerably more than that. It can confirm someone is who they say they are in an era of deepfakes, and it can catch fraud that no other source sees.
We now offer our solutions to customers in media and streaming, financial services, and prediction markets, and our reach is growing more every week. Now 350+ people across 4 continents work together to solve complex fraud, identity, friction, and compliance problems across a rapidly expanding list of industries.
In fact, most of our new business is coming from verticals we weren’t selling into two years ago, and even some industries that didn't exist! That’s a good problem to have, and it’s why we’re expanding our commercial team on the legal side too.
Rapid expansion into new verticals means our legal playbook is changing, and almost every deal is the first of its kind. Counterparties run from four-person startups to enterprise level organizations, where there’s no precedent file to pull from.
The Legal team is hiring a Senior Commercial Counsel in Vancouver to take that challenge on with us. We’re building our commercial function out holistically, and are looking to hire the right person to grow with us.
Our legal function is small but mighty, currently sitting at 8 people. most of them here in Vancouver. This role would report directly to our General Counsel, and have a high level of strategic and executive exposure on our highest velocity deals.
If you want to write the playbook rather than work from one, consider applying. We'd love to hear from you.

Key Responsibilities
- Own and lead the commercial contract lifecycle of GeoComply's most complex and highest-value revenue generating agreements, including enterprise license agreements, strategic partnership and channel agreements, master services agreements, and cross-border data and licensing arrangements.
- Serve as the primary legal point of contact for internal revenue stakeholders (including VP and executive level) and external counterparties, driving negotiation strategy on high-stakes or precedent-setting deals.
- Partner with go-to-market and product stakeholders to proactively collaborate on a variety of legal-related launch considerations, including commercial market initiatives, risk identification and mitigation measures, intellectual property considerations, and privacy and data governance matters.
- Draft, review, and negotiate various other major commercial agreements with customer, vendors and other parties, including non-disclosure, consulting, licensing, leasing, supplier, and data processing agreements
- Monitor and advise on the legal and regulatory implications of emerging technology, AI, and data governance trends on GeoComply's commercial contracting practices.
- Advise on privacy, data ownership, and regulatory considerations embedded in commercial contracts and product offerings.
- Champion the development and use of templates, software, automation, AI and other technologies across business units (Sales, Product, Finance, Revenue Operations) to increase the efficiency of the contracting processes.
- Own and evolve GeoComply's contract playbooks, negotiation positions, and workflows across multiple agreement types, treating these as living assets that scale with the business.
- Mentor and provide day-to-day guidance to other legal team members.
- Work with and manage relevant external legal advisors, as needed.
- Support other members of the Legal leadership team with setting annual goals, strategic priorities, KPIs, and team culture building.
Must Haves:
- Law degree and full qualification to practice law in an in-house environment in North America.
- Between 5-15 years experience as a lawyer in a top-tier law firm and/or in-house department

- Comfort operating with significant autonomy in a dynamic, transaction-heavy, rapidly evolving environment with competing deadlines and limited precedent.
- Expertise in commercial contracts, with particular strength in emerging technology, software/data licensing, privacy/data governance and complex partnership or channel structures.
- Exceptional analytical and problem-solving skills, with the judgment to distill highly complex legal and commercial issues into clear, decisive, and well-supported recommendations for executive audiences.
- Track record of building or meaningfully improving legal processes, playbooks, or templates at scale, not just using them.
- Accuracy and attention to detail remain essential, even while operating at a higher altitude of judgment and delegation.
Nice to Haves
- Ideally experience practicing in one of: high-growth tech, B2B, SaaS, regulated-technology or igaming environments
- Experience advising on and managing legal risk in commercial litigation matters or working with and advising North American headquartered, global businesses on cross-border legal functions would be an asset
