Description
We are seeking an experienced, highly organized Paralegal to support our Legal Department and assist with a broad range of corporate, regulatory, contractual, and real estate matters. The ideal candidate will have experience working in business and corporate law, Texas regulatory compliance, and real estate law, along with strong legal research, drafting, contract administration, and organizational skills.
This position will work closely with company leadership and internal departments and will assist with contracts, corporate records, regulatory matters, real estate transactions, claims and litigation support, and other legal and compliance initiatives.
Corporate, Business & Regulatory Matters- Provide paralegal support for a broad range of corporate and business legal matters
- Assist with corporate governance, entity management, business registrations, licenses, permits, and related filings
- Research and monitor Texas laws, regulations, administrative requirements, and regulatory developments affecting company operations
- Assist with regulatory compliance matters involving state and local governmental agencies
- Prepare, maintain, and organize corporate records, resolutions, organizational documents, certificates, and other legal records
- Assist with business acquisitions, due diligence, corporate transactions, and integration-related legal matters
- Research legal and regulatory issues and prepare summaries for review by legal counsel and company leadership
- Coordinate with governmental agencies, outside counsel, vendors, consultants, and other third parties as necessary
- Assist with annual insurance renewals, certificates, and related documentation
- Maintain and renew Sales and Use Tax certificates and other registrations for applicable jurisdictions
- Provide paralegal support for Texas commercial real estate transactions and matters
- Assist with acquisitions, dispositions, leases, amendments, renewals, easements, licenses, and other real estate agreements
- Review and organize title commitments, surveys, deeds, closing documents, property records, and due diligence materials
- Track critical dates and obligations associated with leases, purchase agreements, option periods, renewals, and other real estate matters
- Coordinate documentation and information with title companies, brokers, landlords, tenants, lenders, outside counsel, and other parties
- Maintain organized electronic records for company-owned and leased properties
- Assist with property-related filings, notices, certificates, and regulatory requirements
- Draft, review, revise, and maintain contracts, amendments, releases, notices, correspondence, and other legal documents under attorney supervision, as applicable
- Assist with contract administration for vendor, customer, commercial, governmental, and other agreements
- Receive, log, organize, and maintain executed contracts and related documentation
- Maintain contract databases, spreadsheets, renewal dates, notice deadlines, and other key contractual obligations
- Assist with city, county, state, federal, and other governmental contracts and documentation
- Coordinate contract signatures and ensure completed agreements are properly maintained
- Assist with trademark, copyright, and other intellectual property administration
- Draft letters, memoranda, policies, resolutions, meeting minutes, and other legal and corporate documents
- Assist with claims, disputes, subpoenas, litigation, and other legal proceedings
- Create and maintain status reports and timelines for claims and lawsuits
- Organize pleadings, correspondence, discovery materials, records, and other litigation documents
- Coordinate document collection and responses to requests for information
- Conduct legal and factual research using internet resources and legal research platforms
- Assist with responses to subpoenas, governmental inquiries, records requests, and other formal legal requests
- Coordinate with outside counsel and internal departments regarding pending legal matters
- Serve as a liaison between the Legal Department, company leadership, departmental staff, outside counsel, and other stakeholders
- Provide high-level administrative and project support to the Legal Department
- Manage calendars, deadlines, meetings, trainings, and other Legal Department activities
- Prioritize and manage multiple projects and follow through on outstanding matters in a timely manner
- Draft and distribute interdepartmental correspondence and communications
- Maintain organized electronic legal files, databases, spreadsheets, and tracking systems
- Facilitate conference calls, meetings, and related logistics
- Prepare meeting materials, presentations, agendas, and meeting notes
- Arrange travel, lodging, and transportation when necessary
- Perform special projects and other duties as assigned

Requirements
- Minimum 3 years of directly related paralegal or legal experience
- Experience in business law, corporate law, commercial transactions, or an in-house corporate legal environment
- Experience with Texas regulatory and compliance matters
- Experience with Texas real estate law and commercial real estate transactions
- Experience reviewing, drafting, administering, and maintaining contracts and other legal documents
- Strong legal research and analytical skills
- Excellent written and verbal communication skills
- Exceptional attention to detail and organizational ability
- Strong electronic document and file management skills
- Ability to independently manage projects, deadlines, and competing priorities
- Ability to conduct research using internet resources and legal research platforms such as Practical Law, Westlaw, Bloomberg Law, or similar systems
- Proficiency with Microsoft Office, including Word, Excel, Outlook, PowerPoint, and Teams
- Ability to identify potential legal or compliance issues and promptly escalate them to the appropriate legal or company leader
- Proactive self-starter who can work with minimal oversight

Education
- Paralegal Certificate or equivalent combination of education and relevant legal experience required
- Associate's or Bachelor's degree preferred
- Additional training or experience in business law, corporate law, regulatory compliance, or real estate law preferred
Preferred Experience
Candidates with experience in an in-house corporate legal department or a law firm representing businesses are strongly preferred. Experience supporting organizations with multiple locations, business entities, commercial properties, acquisitions, governmental or regulatory matters, and a high volume of commercial contracts is particularly valuable.
