NJII is actively seeking an experienced legal professional to join our dynamic team. The ideal candidate should possess a minimum of ten years of proven expertise in the legal profession, including prior experience in small businesses and start-ups. They should also possess the ability to handle complex transactions related to company formation, incubation, commercialization, and intellectual property. As the lead counsel for NJII, you will oversee all aspects of contract agreements, collaborate with the divisional leaders, and engage with the NJII Board of Directors. You must demonstrate proficiency in contract law and negotiation, working closely with external counsel as necessary, this would include working with NJIT counsel as needed. Essential Functions -

  • NJII Legal Counsel will supervise and own all the centralized legal operations, including the management of external legal counsel.
  • In the capacity of NJII Legal Counsel, you will be responsible for reviewing all legal documents, drafting contracts, and liaising with external counsel as needed, aiming to minimize overall expenses related to outside legal services.
  • Legal Compliance: Ensure compliance with all applicable federal, state, and local laws, regulations, and contractual obligations related to federal and state contracts.
  • Contract Management: Oversee the negotiation, drafting, and review of various types of agreements, including federal contracts, subcontractor agreements, vendor agreements, and other legal documents.
    • You will oversee I-Contracts, a centralized database used for the retention and organization of all contracts and agreements.
  • Risk Management: Identify and assess legal risks associated with business operations, contracts, and regulatory requirements, and develop strategies to mitigate such risks effectively.
  • Regulatory Compliance: Stay abreast of changes in laws, regulations, and industry standards related to federal contracts, health delivery organizations, and the Department of Defense (DoD), and ensure organizational compliance with such requirements.
  • Litigation Management: Manage and oversee any legal disputes, litigation, or regulatory investigations involving the organization, working closely with external legal counsel as necessary.
  • Legal Advisory: Provide timely and strategic legal advice and support to senior management, department heads, and other stakeholders on a wide range of legal issues impacting the organization's operations and strategic objectives.
  • Training and Education: Develop and deliver legal training programs and materials to educate employees on legal risks, compliance requirements, and best practices relevant to their roles.
  • Collaboration: Collaborate effectively with cross-functional teams, including finance, operations, compliance, and people/development/culture (i.e., Human Resources), to address legal issues and achieve organizational goals.
  • Ethics and Integrity: Uphold the highest standards of ethics, integrity, and professionalism in all legal and business activities, serving as a role model for ethical behavior within the organization.
  • Corporate Governance: Provide legal guidance and support on corporate governance matters, including corporate structuring, governance policies, and compliance with corporate governance best practices.
    • You will assist in ensuring that NJII consistently maintains its nonprofit status. Moreover, you will supervise corporate governance and the governance of all legal entities.
  • The NJII lead counsel serves as the NJII board secretary, responsible for drafting all resolutions, recording meeting minutes, ensuring compliance, and overseeing bylaws.
    • In your role as board secretary, you will oversee the meeting process, ensure all necessary documentation is prepared beforehand, take responsibility for meeting attendance and quorum, and manage scheduling logistics for all meetings.
    • The board secretary will oversee all Board of Directors committee gatherings and will record minutes for each session.

Requirements -

  • Bachelor's degree in business law, Business Administration, or related field.
  • Should be a graduate of an ABA-accredited law school and a member of the New Jersey Bar.
  • A minimum of 10 years of experience in the legal profession and a law degree are required.
  • Priority on transactional experience and deal-making
  • Good organizational, prioritization, and time-management skills.
  • Exceptional writing and editing skills.
  • Exceptional collaborative, communication, and legal process skills across NJII's cross-functional teams and diverse business industries.
  • Ability to learn the business quickly and collaborate with NJII divisional leaders to align agreements and contracts with NJII's strategic plan.
  • Proven experience in handling legal matters related to federal contracts, healthcare regulations, and Department of Defense (DoD) requirements is highly desirable.
  • Strong understanding of relevant laws, regulations, and industry standards governing federal contracts, healthcare, and Department of Defense (DoD) operations.
  • Excellent communication, presentation, and interpersonal skills.
  • Experience with higher education academic institutions is a plus.
