Responsibilities:
We are looking for an exceptional Stock Administration Analyst to join our growing team. In this role, you will support the operations of the company's employee equity plans, and help us scale our capabilities to meet the growth at Verkada. The ideal candidate will have previous stock administration experience, attention to detail, and a customer service mindset. This position will need to collaborate with various teams across the company as well as external service providers to successfully perform ongoing stock administration activities
- Serve as the primary point of contact for participant inquiries
- Collaborate with payroll groups to process transactions and review taxation
- Assist Finance group with stock-based compensation expense and forecastProcess new awards, stock lapses and prepare monthly/quarterly reconciliation
- Act as point of contact for external audit related to stock compensationPerform international tax regulation research
- Support the day-to-day administration of the company's stock-based compensation plans: maintain equity system operations, including all aspects of record-keeping, reporting, and reconciliation.
- Prepare and process equity transactions, including new hires, new equity awards, exercises, releases, cancellations, terminations, and repurchases for all employees.
- Ensure accuracy, timeliness, and integrity of all equity data in equity management platform and system of record (Carta).
- Regularly reconcile equity activity with the company/legal/broker/transfer agent records and payroll data (employee and shareholder information, transaction activity, per share data, shares outstanding, share reserves, etc).
- Assist in development and maintenance of policies and procedures related to stock administration.
- Assist in implementing process improvements and supporting automation.
- Partner with the HR and Accounting teams to determine and process any necessary reportable earnings and tax withholdings.
- Partner with Legal and external counsel on verifying compliance with federal and state securities laws, and maintain regulatory requirements on all stock plan regulatory requirements.
- Maintain company’s capitalization table
Requirements
- Bachelor’s Degree
- At least 2+ years experience
- Strong verbal and written communication skills
- Intermediate Excel skills
- Analytical, problem solving, and organizational skills.
- Ability to focus, complete tasks accurately and thrive in a fast-paced environment.
