Edra is solving one of the hardest problems in enterprise AI: AI models are generic but company processes are specific. We build AI agents that learn how processes actually run, and then run their operations.
We're a Series A startup, backed by Sequoia and other leading VC firms, led by Co-Founders who created and led Forward Deployed AI Engineering at Palantir, and we're growing our team in New York and London. We're a deeply technical team of engineers, AI researchers, and strategists with a high bar for talent and a shared belief that exceptional people are the foundation of everything great we'll build.
The RoleWe’re hiring our first Commercial Counsel to own customer contracting work at Edra. Today this work is mostly owned by outside counsel, but with substantial growth in our commercial pipeline we’re ready to bring on an in-house attorney. This is a hands-on role: you’ll close enterprise deals, build effective contracting systems and processes, and advise on privacy, data protection, and our AI products.
You’ll work closely with Operations, GTM, Engineering, and Deployment teams, with outside counsel available for specialist support. (Outside counsel will continue to own corporate governance, fundraising, the equity plan, and IP work).
Getting enterprise customer agreements signed efficiently will be your first priority. We’re looking for someone who can identify the risks that matter, explain tradeoffs clearly, and find workable solutions. Along the way, you’ll build the templates, playbooks, and systems that help us move faster as we grow, building the foundation for the commercial legal function at Edra.
What You’ll DoLead enterprise negotiations: Own customer agreements from initial review through signature, including MSAs, order forms, DPAs, and related addenda. Work directly with GTM and customer legal and procurement teams across both Edra and customer paper.
Own vendor and partnership agreements: Draft and negotiate agreements that support our operations and commercial partnerships, bringing clear recommendations on legal and business tradeoffs.
Build the contracting foundation: Develop and improve templates, negotiation playbooks, fallback positions, and review and approval workflows that make contracting faster and more consistent.
Advise on privacy and data protection: Help teams navigate data processing, permitted use, security obligations, and related customer requirements. Translate legal requirements into practical advice that reflects how our software works.
Partner on product decisions: Work with Product and Engineering early in the development process to advise on the legal implications of new capabilities, integrations, and AI use cases.
Scale your impact: Turn recurring legal questions into useful guidance the team can use, and use AI and automation (including Edra’s own platform) to reduce repetitive work and improve contracting.
Support adjacent legal needs: Help with occasional employment matters and coordinate with outside counsel when commercial matters require specialist expertise.
Professional qualifications: J.D. from an accredited law school; active member in good standing of at least one U.S. state bar, and admitted or otherwise eligible to practice as in-house counsel in New York.
Experience: 5+ years of legal experience with a substantial focus on commercial technology transactions. In-house experience at a B2B software company is preferred; strong law-firm technology transactions candidates are welcome.
Enterprise contracting expertise: You’ve independently led complex software negotiations and are comfortable working from both company and customer paper, including agreements with sophisticated enterprise counterparties.
Privacy fluency: You have practical experience with privacy and data protection in software businesses, including negotiating DPAs and advising on how data can be processed and used across jurisdictions (including US, UK, and EU/EEA).
Commercial judgment: You make clear recommendations, distinguish material risks from negotiating preferences, and know when to hold a position, find an alternative, or involve the business or outside counsel.
Builder mindset: You’re comfortable doing the drafting yourself, managing competing priorities, and building useful processes from scratch. You take ownership of moving work through to completion.
Technical curiosity: You want to understand how the product works and can work effectively with technical teams. Experience advising on AI products is a plus.

What We Do
Edra is a Series A AI startup that develops agents capable of reverse-engineering business operations from internal data, such as tickets, logs, and messages. By converting this data into 'executable knowledge,' Edra enables the automation of complex, company-specific processes. Backed by Sequoia, the company bridges the gap between generic AI models and the specific, real-world workflows of an enterprise.
