Purpose of Job:

•General Advisory Role - The candidate will provide accurate, timely, business-oriented legal advice regarding all facets of the Company’s aerospace and defense (A&D) business development activity to all levels within the organization.

•Government Contracts – Draft and oversee the Company’s A&D related contracts including, but not limited to, customer agreements, grant proposals, OTAs, industry membership agreements, and consultant agreements applying demonstrated, practical relevant industry experience and knowledge of all relevant legal and industry standards applicable for prime and sub-prime contractors supplying products and engineering services to U.S. Government (USG) agencies.

•Classified Programs - Support and drive the Company’s implementation and maintenance plans of a classified facility related to classified programs. Capable of serving as a Facility Security Officer, if needed.

•Regulatory Advisory and Compliance - Support and lead compliance measures to ensure the Company’s compliance with all applicable laws regarding its A&D business initiatives including, but not limited to, FAR/DFARs compliance list updates, export controls and ITAR, licensing, training, administering contract policies and procedures, best practices, and other related matters.

•Business Lawyer and Team Player - Work cooperatively with the business team, provide practical, risk balanced legal advice, think strategically and deliver time-based results.

•Negotiator and Advocate – Negotiate the Company’s strategy, contracts, resolve contractual issues with opposing counsel and third parties to risk balanced outcomes.

•Other Responsibilities - Assist the General Counsel with other job-related duties as assigned including potential for overflow of commercial contracts, compliance, HR and other corporate matters.



Essential Job Functions and Performance Standards:

•Must be a member of the California State Bar in good standing (or possesses a transferrable active, California Registered In-House Counsel Certification).

•15+ years of relevant A&D industry experience.

•Law firm trained and extensive in-house legal department experience.

•Deep knowledge of all legal requirements in the A&D sector and relevant “market” terms negotiating with prime contractors and USG agencies. Accelerate contract resolution with a focus on prioritized terms.

•Experienced with classified programs.

•Active DoD classified clearance status preferred or must be capable of obtaining and maintaining such security status.

•Facility Security Officer experience preferred.

•Strong collaboration skills and a proven track record demonstrating the ability to independently make decisions. regarding complex legal and corporate issues within set parameters.

•Pragmatic, flexible to changing business needs in a dynamic, high-paced start-up environment.

•Outstanding written and oral communications.

•Outstanding organizational, project management, and time management skills.

•Excellent judgment.

•“Can do” and “challenge accepted” mentality.

•High integrity.

Regular office environment, also frequent interaction with manufacturing operations.
