Technology and other startups usually incorporate in either Delaware or the state in which they are headquartered. If you plan to seek venture funding, it is almost certainly best to incorporate in Delaware. For a variety of reasons, VC’s will insist on it. One downside to incorporating in Delaware is that you will need to comply with tax and regulatory requirements in both Delaware and your home state. Thus, if you do not plan to seek venture funding, incorporating in your home state may make the most sense.
