We are strengthening our Mergers & Acquisitions (M&A) and Cooperation team in North America and we're seeking a new colleague to join our HQ location in Livonia, MI.

Responsibilities:

• Develop strategic concepts, decision papers and presentations for the ZF Board of Management (BoM) and Division Management.
• Implement strategic objectives of the Group in coordination with the Head of M&A of ZF Group, the BoM, Regional Headquarter Management and the Heads of Divisions and Business Units.
• Manage and coordinate complex global mergers, acquisitions, divestments and co-operations and related tasks, including due diligence, negotiation, contract arrangement, and local integration; carve-out support, planning and execution.
• Prepare business analyses, feasibility studies, budgeting, target operating models, simulated calculations, and company valuations.
• Negotiate LoI, MoU, SPA, APA, or other contracts regarding M&A issues in agreement with the superior. Coordinate the necessary internal and external legal support on a regional or global level.
• Until closing, manage and coordinate M&A projects (incl. due diligence, etc.) in agreement with the superior and the needed internal and external resources (i.e., consultants, investment banker, banks, public authorities, etc.), most often independently.
• During the PMI phase, support the PMI team in all commercial and technical issues. Conduct reviews of acquisitions under consideration of strategic and financial success.
• Perform project cost / investment management and controlling.
• Develop and manage relationships with internal and external partners, and transaction advisory firms.
• Act as an information gatekeeper, understanding the complexity and sensitivity of each transaction.

Qualifications:

• Minimum of a Bachelor's degree in Finance, Economics, Industrial Engineering, or related discipline (Master's degree is preferred)
• Several years of professional experience in relevant functions, ideally in M&A
• Multi-Transaction experience is ideal
• Legal knowledge as well as technical understanding of transaction frameworks is ideal
• Fluency in English is required and fluency in another foreign language is an advantage
• Conceptual, analytical, structured, and independent way of thinking and working
• High level of social competence and empathy, with very good judgment skills
• Strong collaboration, communication, and leadership skills
• Ability to be assertive, critical and resolve conflict
• High flexibility, resilience as well as the willingness to travel globally
