Purpose:

The Mergers and Acquisitions Manager will work with the EVP Business Development Strategy as well as operational and financial leaders to oversee the M&A project management process, including scoping, due diligence, financial planning, closing, and integration.

Minimum Eligibility Requirements:

  • Bachelor's degree in an analytical discipline or degree in Business Management
  • MBA preferred
  • A minimum of three (3) years of experience with mergers and acquisitions
  • Experience in a related industry and/or field preferred
  • Workplace experience with investment banking and/or private equity
  • Some analytical experience preferred
  • Must have a detailed understanding of financial statement mechanics and business valuation theory

Essential Job Functions:

  • Supports the end-to-end M&A process including deal sourcing, determination of strategic fit, business assessment, valuation, due diligence, contract negotiation, integration, and post-closing issue resolution.
  • Responsible for most of the preliminary legal work for potential acquisition deals by coordinating the collection, validation, synthesis, and interpretation of data from confidential and public sources to assist in analysis.
  • Analyze the industry prospects by gathering information about growth, competitors and the market share possibilities.
  • Builds analytical models and performs financial analysis to value acquisition opportunities, providing clear explanations and making well-founded recommendations to executive leadership.
  • Manages the due diligence to understand the target company's business and legal practices, liabilities, financial standing, and intellectual property by working with finance to review targeted companies fundamentals and financial statements and with legal to understand the risks associated with the acquisition.
  • Support all aspects of the internal process for transaction assessment and approval, including the drafting of memos and presentations.
  • Assists in the development and negotiations of transactions and contracts.
  • Oversees the integration of acquired companies
  • Builds rapport internally across the organization and externally among the leaders of potential acquisitions, industry influencers, and other consultative entities, ensuring strong partnerships to deliver a robust pipeline of acquisition opportunities.


PHYSICAL/SENSORY REQUIREMENTS

Sedentary Work - Ability to exert 10 - 20 pounds of force occasionally, and/or negligible amount of force frequently to lift, carry, push, pull or otherwise move objects. Sedentary work involves sitting most of the time, but may involve walking or standing for brief periods of time.
