Purpose:

The Staff Attorney position exists to mitigate legal risk for Pampered Chef.  The position’s value is to provide Pampered Chef with in-house legal assistance at its immediate disposal.  Such support will be provided to all departments and every level of our domestic and foreign operations.

Responsibilities:

  • General Commercial Transactions
    • Contract counseling with internal stakeholders.
    • Review, update, and monitor company contract templates and systems.
    • Draft, review, and negotiate a broad variety of domestic and international contracts, including master services agreements, nondisclosure agreements, IT/software licensing agreements, staffing agreements, and miscellaneous vendor agreements.
    • Provide creative and legally sound solutions for resolution of disputes with commercial business partners.
  • Supply-Chain Transactions
    • Contract counseling and collaboration with brand managers, sourcing specialists, and product engineers.
    • Review, update, and monitor manufacturing and supply agreement templates.
    • Draft, review, and negotiate complex domestic and international manufacturing and supply agreements.
    • Draft, review, and negotiate complex domestic and international joint development agreements.
  • Trademark and Patent Portfolio Management
    • Provide assistance to executives and global general counsel to develop corporate intellectual and brand protection strategy.
    • Assist in product development process.
    • Coordinate with patent and trademark outside counsel to manage and maintain Pampered Chef’s intellectual property portfolio.
    • Coordinate with patent and trademark outside counsel to review intellectual property infringement risk and secure protection where available.
    • Manage efforts to evaluate, determine, and secure international IP protection.
  • Product Regulatory Compliance
    • Counsel and advise Pampered Chef Product Quality team on product safety considerations and regulatory requirements. Such requirements include, but are not limited to, Food and Drug Administration, Consumer Product Safety Commission, California Proposition 65, European Commission regulations/directives (including country specific requirements for Germany such as LFGB), and UL GE/GS certifications for specific product types.
    • Draft, review, and revise product Use & Care instructions.
  • Mergers and Acquisitions
    • Provide key support in drafting and/or reviewing deal documents for all phases of M&A transactions from confidentiality agreements to asset and stock purchase agreements.
    • Aid stakeholders to progress due diligence, structure analysis, product, and labor regulatory review.
    • Coordinate with outside counsel’s efforts as necessary.
  • Corporate Governance
    • Manage global parent and subsidiary corporate documents.
    • Manage annual filings and assist with business licensing.
  • Litigation and Claims
    • Prepare general legal documents, correspondence, pleadings, discovery, liability releases, and settlements.
    • Track and respond to garnishments, employment claims/questionnaires, and tax levies.
    • Coordinate with outside litigation counsel.
    • Answer subpoenas and work with various business partners to gather required information.
    • Implement legal holds and conduct investigations.

    • Respond to all BBB complaints and working with Director of Solution Center to close claims.
  • Provide assistance to Pampered Chef’s international expansion efforts.
    • Provide key support to establish new global subsidiaries/branches.
    • Determine corporate structure, capital requirements, and repatriation of profit restrictions.
    • Coordinate with local counsel where necessary.
  • Coordinate payment of department costs and manage department record keeping.
  • Provide assistance to remaining legal team in other areas where needed.

Education and Experience: 

Required

  • Exceptional verbal and written communication skills
  • Undergraduate degree
  • Law degree – 3.0 GPA or higher
  • Law license issued in applicable state

Preferred

  • 1-3 years of experience in a law firm or corporate legal department
  • Local law license required
  • Demonstrated ability to supervise workload, perform with minimal supervision
  • Background experience working in a corporate business setting
