Role Summary: Candidate must be based in San Diego, CA

Dexcom's legal team is growing and we are looking for a motivated attorney/lawyer to join our team to support our strategic transactions. This role will report to our Vice President, General Counsel, Strategic Transactions, New Markets, & SEC Compliance and will be positioned in Dexcom's San Diego office. The candidate will work with a team of motivated and passionate attorneys and business partners across different offices.

Essential Duties and Responsibilities:

To perform this job successfully, an individual must be able to perform each essential duty satisfactorily. The requirements listed below are representative of the knowledge, skill, and/or ability required.

  • Manage all aspects of an M&A and corporate venture transaction, including drafting and negotiating NDAs, letters of intent, and definitive and ancillary agreements, advising on deal structure and legal risks, conducting legal due diligence, and supporting integration matters.
  • Partner closely with Dexcom Corporate Development and other cross-functional teams through each phase of a transaction.
  • Support Dexcom's venture capital portfolio investments, including drafting and negotiating term sheets, conducting legal diligence, and drafting definitive deal documents.
  • Manage internal and external deal processes and drive continuous process improvements.
  • Direct and manage outside counsel.
  • Provide legal advice on a broad range of general corporate matters as needed.



Required Qualifications/Education:

  • Member in good standing with the California State Bar.
  • At least 7 years of experience in corporate law, including extensive experience in mergers & acquisitions (M&A) and venture capital transactions.
  • Prior experience working on partnership and technology transactions, including cross-border transactions.
  • Ability to manage outside counsel relationships.
  • Experience drafting and negotiating agreements.
  • Ability to effectively manage a variety of projects.
  • Ability to manage and supervise company business constituencies.
  • Commitment to teamwork, integrity, and collegiality.
  • Excellent negotiating skills and communications skills, both written and oral.
  • Excellent decision-making ability and ability to work independently with minimal supervision.



Preferred Qualifications:

  • Comfort working independently and under tight deadlines.
  • Proactive, self-driven and business oriented mindset.



Travel Required:

  • 10%



Functional Description

Manages the legal business matters pertaining to the organization. Acts as advisor, or coordinates with external counsel, on legal issues including but not limited to the organization's government and regulatory compliance, data privacy and risk mitigation, intellectual property and patents. Prepares documents to support same. Reviews legal data and advises organization on appropriate legal action to be taken. Directs internal and external counsel performing litigation on the company's behalf. May, but usually does not, get involved with legal matters handled by outside counsel related to personnel matters. Requires a law degree. Selects, develops, and evaluates personnel to ensure the efficient operation of the function.

Experience and Education

  • Typically requires a Bachelors degree with 17+ years of industry experience.
  • 13+ years of years of successful leadership experience in relevant industry.



Workplace Type

  • The Workplace Type for this role is Assigned Desk. Based on the nature of your role you will have an assigned desk or office located at a Dexcom site and should plan to be onsite approximately 4-5 days per week.
