As a Senior Corporate Paralegal, you would be part of SparkCognition's quickly growing in-house Legal Department. Every day, the Legal Department collaborates with other organizations within the company to ensure that the company reaches its business goals in a legal and compliant manner. SparkCognition is an ambitious enterprise and joining SparkCognition's Legal Department offers an opportunity to participate in a remarkably wide array of projects considering the company's size. Your colleagues (and in some cases you!) will be responsible for matters including but not limited to corporate, financing, governance, customer and vendor agreements, intellectual property, mergers & acquisitions, litigation, compliance, and public company readiness
Join us and:

• Ensuring proper, consistent management of global subsidiaries, external counsel, corporate secretarial service providers, global entity information, global org. chart, and obtaining EINs
• Supporting corporate transactional legal matters, including mergers, acquisitions, financings, and their related data rooms, diligence, KYC, and closing mechanics
• Preparing and managing filings and related documents as directed by in-house attorneys
• Coordinating and working with internal stakeholders, external counsel, and accounting firms on projects related to corporate governance and legal reporting matters
• Gaining familiarity with organizational documents, including articles of incorporation, operating agreements, board resolutions, and stockholder resolutions, and governance minute books
• Maintaining legal files
• Fielding tasks received by the legal team through in-house intake channels and coordinating assignment of the tasks to the relevant member(s) of the in-house legal team
• Cross-functionally training and role/responsibilities backup

You'll have:

• Paralegal certification, associate degree, or equivalent experience
• Bachelor's degree, preferred
• At least 7 years of applicable experience, preferably with an in-house legal department, including experience in managing corporate matters
• Experience working in the in-house legal department of a public company or a private company transitioning to a public company, preferred
• Experience working at a technology company is a plus
• Proficiency in Microsoft Office, DocuSign, Document Management, Adobe Acrobat Pro, SalesForce (training available)
• Texas notary public, preferred (we will help you establish and maintain this credential)
• Ability to perform work under minimal supervision and perform priority shifting as needed
