We are actively recruiting for a Senior Counsel, Mergers & Acquisitions to join the Law Department in Richmond, VA, or we are open to remote work arrangements.

This position will involve working on a team that is responsible for all of Altria's M&A transactions. You will have the opportunity to work alongside and learn from inquisitive, collaborative colleagues and do exciting work that enables the success of our employees and businesses.

What you will be doing:• Lead end-to-end domestic and international M&A activities, including acquisitions, mergers, divestitures, equity investments and other complex transactions, from inception through integration.• Partner with Corporate Development and other business strategy teams in the initial exploration of investment targets or M&A.• Lead cross-functional legal experts (in-house and outside) to complete transactions, including tax and local counsel, if required.• Advise on deal strategy and negotiating tactics.• Conduct due diligence.• Work with antitrust attorneys to assess regulatory obstacles, gain regulatory approval and analyze any other required regulatory approvals.

We want you to have:• Mastery of practical and academic knowledge within M&A and other strategic transactions.• Demonstrated skill in negotiating and advising senior representatives of external and internal organizations on complex and high value/risk matters.• Working knowledge of corporate finance, secured lending, tax, environmental law, employment and labor law, executive compensation and benefits, real estate, antitrust, intellectual property, anti-corruption, commercial law, among others.• 5+ years of experience as a practicing attorney in M&A practice areas.• 7-10+ years of work experience; mix of law firm and in-house legal experience a plus.• JD from an accredited law school and good standing member of the Bar.• Strong communication skills and direct client counseling experience.• Ability to navigate a complex organization and manage a demanding workload.• Strong business and financial competence.
