Responsibilities

  • Oversee day-to-day management and maintenance of our corporate governance records, including:
  • Ensuring corporate record books for all company subsidiaries are well organized and up-to-date 
  • Maintaining corporate organizational structure charts 
  • Responding to information requests from outside legal counsel and internal business partners
  • Assist corporate legal in the preparation and filing of SEC documents, including annual, quarterly and current reports, proxy statements, registration statements, and Section 16 filings, including assistance with gathering factual support, exhibits and required signatures 
  • Assist corporate legal in supporting our equity compensation plan administration team, including assisting with the administration of our Securities Trading Policy, reviewing 10b5-1 plans, and preparing Section 16 filings
  • Support legal aspects of acquisitions, and capital market and other financing transactions, including data room management and due diligence inquiries and responses
  • Support planning and logistics for annual stockholder meetings
  • Attend to the preparation, distribution and completion of director and officer questionnaires
  • Support special projects as needed, including research, organization, and project management
  • Respond to requests for information and documents from our internal and external auditors, internal business partners, and other stakeholders

Education and Qualification

  • Bachelor’s degree from an accredited institution and/or paralegal certificate
  • 7+ years of paralegal experience, preferably with an in-house legal department
  • Substantive experience with securities law (including Section 16 filings), corporate governance, and corporate entity management strongly preferred
  • Experience with Google Suite, Workiva, Shareworks and web-based Board portal software (including Boardvantage) preferred
  • Familiarity with Delaware corporate law and Nasdaq rules is a plus
