Department Overview
By becoming a part of the Motorola Solutions Software Enterprise legal team, you become a part of helping public safety and commercial customers obtain the products and services needed for the moments that matter. From the legal procurement team working with subcontractors and vendor to obtain the supplies needed to run the business, to the software legal team analyzing new product offerings, to the legal pre-sales team negotiating contracts with customers, to the post-sales project team to complete our contracts as contracted on time and on budget, our team assists, supports and facilitates the innovation and business efforts of Motorola Solutions.
Job Description

The Senior Commercial Counsel is responsible for supporting Command Center Software. This attorney will report directly to the Lead Counsel for the Software Enterprise business and work closely with the various leaders across the Command Center Software businesses in order to provide legal counsel from both a product development/management perspective and also a go to market function. The Senior Commercial Counsel will have a broad mandate in building and implementing the legal framework for these growing businesses. A key responsibility of the position will be to drive and implement robust Risk Management. This role develops strategies with internal business partners, evaluates risk exposure, and makes recommendations to business partners or legal counsel. The full-time position may be remote.

Job Responsibilities

  • Draft, review, edit, finalize and negotiate high complexity transactional agreements to meet business and legal requirements in a wide variety of contracts including software as a service (SaaS) customer agreements, and other technology related agreements.

  • Manage contract documentation/approval flows to ensure consistency with internal processes.

  • Advise and coordinate with multiple stakeholders across marketing, product, finance, implementation and sales throughout the pre-sales, sales and post-contract cycle and the product development cycle (from the initial stages of product development, through launch, to market strategy) on a broad range of legal and compliance issues for the Motorola Solutions portfolio of products and services.

  • Provide pragmatic counsel and guidance for the accomplishment of overall business objectives of the Company, while fully complying with applicable laws and regulations and avoiding unacceptable risks; perform informed cost-benefit analysis when identifying risks under tight deadlines. This includes supporting the business and product development processes by providing key inputs and advice on legal risks and issue, prioritizing risks and ensuring compliance with government and customer-imposed requirements.

  • Proactively develop and maintain technical knowledge in specialized area(s), remaining up-to-date on current trends and best practices.

  • Exercises reasonable judgment to determine when to escalate complex matters or decisions to more senior level counsel or manager.

  • Provide guidance and training to the pre sales legal team on new or modified offerings.

  • Assist with integration of new acquisitions and the commercial legal teams.

  • Provide post contract support to the Software Enterprise business team, including providing dispute resolution negotiations.

  • Assist with the development of streamlined, organized and efficient policies and procedures for contracts, including establishing playbooks, and standard template language to be used in contracts.

  • Assist in establishing and maintaining contracting governance and operations including assisting with transformation initiatives, streamlining product documentation and establishing click wrap or online terms.

Desired Skills/Qualifications

  • 7 years of experience in corporate transactional, contracts negotiation and/or commercial transaction experience with background in technology matters, government contracts and/or intellectual property

  • Admission to the Bar of at least one state.

  • A combination of law firm and in-house experience, including supervision of outside counsel.

  • Solid foundation of complex commercial contracts and the demonstrated ability to identify and solve for potential legal and business issues present therein and comfort working with business leaders to implement legal frameworks around business concepts.

  • Software Enterprise is a data intensive businesses, and thus expertise and experience in data privacy and protection laws are highly valuable attributes.

  • An ability to engage individuals and teams to ensure timely project completion.

  • The ability to work under pressure, meet tight deadlines, and balance a heavy workload. Well organized, detail oriented and adept in a fast-paced environment

  • Ability to promote commercial objectives while also applying the law with the highest ethical standards.

  • Experience approaching legal matters with a sense of pragmatism and flexibility to recommend solutions that enable our company’s success while protecting its legacy and future.

  • Excellent negotiation, consultation, and analytical skills.

  • Excellent problem-solving skills, sound judgment and decision-making skills.

  • Strong interpersonal, presentation and communication skills (including written and verbal).

  • Experience applying knowledge of multidisciplinary business principles and practices to achieve successful outcomes in cross-functional projects and activities.

  • Strong business acumen, with ability to understand the company’s business objectives and anticipate the legal issues that could arise.

  • Required to work with the highest level of ethics and discretion.

  • Think strategically: Aligns own work with broader business strategies and goals; stays aware of the business implications of market and industry trends; and recognizes the impact of his/her work on overall organizational strategy.

  • Experience drafting, reviewing and negotiating complex commercial and SaaS sales agreements and proficiency in third-party hosted and cloud-services issues, service level agreements, industry trends and best practices.

  • Requires a Juris Doctor Degree from an accredited institution and 5+ years of experience
