Overview

The AvePoint legal team provides world-class legal services that help AvePoint accelerate growth, produce definitive results, and achieve business goals. The AvePoint legal team is seeking a paralegal (the “North American Paralegal”) who will be responsible for providing the AvePoint legal team with legal, administrative, and operational support that is timely, proactive, practical, and cost-effective. In providing its services, the North American Paralegal must meet the highest legal, ethical, and professional standards. Importantly, the North American Paralegal will have responsibility for facilitating and supporting all of AvePoint's legal operations throughout North America. The North American Paralegal will work from AvePoint’s offices located in Richmond, Virginia and will report directly to AvePoint's Senior Corporate Counsel.


Your responsibilities will include:

  • Supporting the AvePoint’s legal team of attorneys throughout North America, with a specific focus on AvePoint’s central corporate legal team
  • Managing, administering, and tracking corporate records, including but not limited to corporate structure charts, entity formation and operation documentation, equity plan documentation, sales contracts, and regulatory filings required to be made by AvePoint to the SEC and other regulatory bodies
  • Assisting the AvePoint legal team in filing requisite public disclosure documentation, including but not limited to quarterly and annual reports, ownership disclosures, current reports, and proxy statements
  • Assisting the AvePoint legal team in completing due diligence for commercial transactions
  • Managing internal IP records, tracking IP filings, and performing miscellaneous IP-related matters
  • Assisting and coordinating with the AvePoint legal team in litigation matters, including note taking, evidence collection, record retention, and assisting the AvePoint legal team in the filing of court and mediation documentation
  • Overseeing AvePoint’s signature and authorization process
  • Assisting the AvePoint legal team in operationalizing internal policies and procedures
  • Managing business expense reporting for the legal team
  • Assisting in ad-hoc administrative and operations-based tasks, as assigned by AvePoint’s legal team and AvePoint management

Other qualities that you’ll need for this role include:

  • Undergraduate degree preferred but not required.
  • Minimum 3-5 years of substantial experience in the legal field, specifically corporate law for public companies and technology transactions law focused in the software industry (in-house experience in addition to law firm experience is preferred; experience working for a public company is a huge plus)
  • Experience in general commercial contracts and intellectual property, record management, SEC regulatory filings and public disclosures, software contracts, labor and employment law
  • Excellent oral and written communication skills
  • Acute attention to detail and excellent analytical abilities
  • Ability to handle sensitive documents and records with a high level of confidentiality
  • Business acumen, including a well-developed understanding of business and commerce and the ability to present creative solutions and alternatives
  • Outstanding interpersonal skills, including diplomacy and flexibility, and the ability to interface effectively and engender trust and confidence with personnel at many different levels throughout AvePoint
  • Enthusiasm and 'self-starter' qualities enabling him or her to manage responsibilities with an appropriate sense of urgency; the ability to function effectively and efficiently in a fast-paced and dynamic environment
  • High-level of resourcefulness, confidence, and problem-solving skills
  • Organized and meticulous, with proven ability to handle multiple tasks at a time
  • Personable and professional demeanor
