Investment Senior Counsel

As Senior Counsel within PNC's Legal organization, preferred candidates will be based in Pittsburgh, PA or Philadelphia, PA; but as a remote/hybrid organization we will also consider candidates with the right experience and skillset in additional locations within the PNC footprint
As Senior Counsel, you will be a part of the legal team supporting PNC's Asset Management Group (AMG). You will be responsible for providing legal advice to senior management, client facing groups and operational personnel. You will work closely with industry groups on legislative and regulatory developments affecting AMG's investment activities. You will be responsible for providing legal advice on SEC and OCC rules and regulations governing AMG's investment activities and assisting the business in interpreting and implementing new laws and regulations. You will be responsible providing creative and compliant business friendly solutions and for helping the business manage risk related to product offerings, customer agreements, marketing, RFP responses and account administration. You will be called upon to assist with the development of new products and services and other special projects.
Minimum Qualifications and Core Competencies:
• J.D. or equivalent degree from an accredited law school; good standing in a state bar (preferably PA).• Eight or more years of legal experience.• Very strong legal analytical, oral and written communications skills.• Very strong contract drafting and negotiation skills.• Substantive legal knowledge of regulatory framework for investment management activities of a national bank, registered investment advisors, and a variety of commingled vehicles (including alternative investments, mutual funds and common and collective trusts).• Solid understanding of fiduciary principles and issues, including conflicts of interest, presented in investment management and trustee relationships.• Ability to effectively interact with line of business managers, risk, compliance and support staff within a bank lines of defense model.• Experience dealing with clients in a comprehensive and complex regulatory environment. • The ability to represent PNC effectively in interactions with external counsel for PNC and with counsel representing other parties.• Sound independent judgment and ability to perform work with minimal supervision, proactive, self-starter• Strong time management skills with ability to manage multiple projects and prioritize variable workflow.
Preferred Skills:
• Experience successfully and practically operating in a complex matrixed asset management environment within a large bank, including effectively managing conflicts of interest and other reputational, operational, and regulatory risks of an investments platform for individuals, trusts and estates, charities and endowments, municipalities and corporate institutions.• Experience managing relationships with regulators (including the OCC, Fed, SEC, and FINRA, with CFPB and CFTC experience additionally helpful).• Strong communication and drafting skills, particularly in assisting clients with internal and external product marketing, client communications, and regulatory communications, including understanding of and experience applying advertising and marketing regulations from the SEC, FINRA and the OCC in both domestic and cross border context.• Experience drafting and negotiating investment-related client, trading, data and other vendor agreements.• Understanding of development, governance, operation, distribution, and marketing of traditional (mutual fund, ETF, index funds, collective funds), managed (UMA, SMA, model portfolios), and alternative (derivatives, hedge funds and fund of funds, private equity) investments offered through bank and SEC-registered entities.• Solid understanding of the various complementary rules and regulations within highly regulated entities, including familiarity with Privacy, AML/BSA, and Cybersecurity regulations.

Work Experience
Roles at this level typically require a university / college degree. Higher level education such as a Masters degree, PhD, or certifications is desirable. Industry relevant experience is typically 8+ years. Specific certifications are often required.
