As our Head of Legal, you’ll be supporting all of our internal departments, so there will be wide diversity in the types of legal work. Generally, you’ll be responsible for advising the company in its day-to-day operations and ensuring that it stays on sound legal footing with counterparties, regulators, investors, and other key stakeholders. Because Garner operates in a highly-regulated sector (healthcare), many of the most important strategic decisions that we make as a company have a legal component. This means you’ll also frequently have an opportunity to provide strategic advice to senior leadership. While you are expected to work well independently, you will also have access to Garner’s legal advisors and outside counsel, who have supervised the company’s legal processes thus far. 

Candidates should have an appetite for working in a fast-paced, highly-regulated startup environment, and a willingness to learn about new kinds of technology and the legal regimes that govern them. Attention to detail is important, particularly an ability to master somewhat complicated contractual structures.

Garner is headquartered in NYC, but this position is also available for individuals who are comfortable with remote work. 

Responsibilities Will Include:

  • Serve as sole in-house counsel available for day-to-day needs of senior and mid-level management. Provide general legal oversight and advice to all divisions of the company.
  • Draft, review, revise, negotiate, and manage a variety of contractual agreements, including NDAs, Master Service Agreements, Offer Letters, and other commercial documents.
  • Supervise legal components of Garner’s relationship with its clients. This includes ensuring that relevant Plan Documents (as required by ERISA) are drafted and in place, etc.
  • Coordinate with outside counsel on matters that require deep subject-specific expertise.
  • Spot regulatory and compliance issues raised by new products under development by the Company.
  • Manage a cybersecurity and regulatory compliance regime, including reviewing policies and tracking processes.
  • Analyze, identify, and manage legal risks faced by the Company.

The Ideal Candidate Has:

  • J.D. from a U.S. law school. Top 20 law school preferred.
  • Bar admissions: NY preferred.
  • Prior experience in the healthcare industry is a plus, but not a requirement. 
  • A willingness and ability to gain high-level understanding quickly of regulatory and compliance frameworks that apply to our business, including ERISA, HIPAA, and SOC 2. 
  • Strong writing skills, including an ability to track and manage revisions to somewhat complex contracts.
  • No fear of technical concepts that are central to Garner’s product, including data storage, encryption, user authentication methods, cloud computing, etc.
  • Experience negotiating and understanding complicated commercial agreements involving sensitive data is a plus.
  • Ability to draft and communicate internal legal policies and procedures that will govern company operations as Garner’s operations grow and mature.
