Director, Assistant General Counsel, Enterprise Products & Platforms Transaction Counsel
As Capital One Enterprise Products & Platforms Transaction Counsel, you’ll apply complex commercial transaction structuring, negotiation and analytical skills to strategic third party contracts that support Capital One’s newest and coolest digital initiatives. You’ll dive in to understand the technology and services that Capital One’s Enterprise Products & Platforms teams deliver, and work with those teams to formalize business intent in connection with strategic relationships with fintechs, e-commerce players and customer-facing technology companies. You’ll be a key player in supporting innovation across the bank, including identity management and fraud prevention, digital wallets and other emerging payment technology tools like Virtual Card Numbers, and our sharing and collection of data to support open banking. And you’ll do it all in a collaborative, supportive environment that values your insight, promotes continuous learning, and rewards creative thinking.
To be successful in this role, you’ll need refined critical thinking skills, an ability to distill complex concepts as part of structuring, drafting and negotiation, a healthy dose of intellectual curiosity and an inclination to be probative and confident in sharing your advice and opinion. You should have a successful track record of thriving in a fast paced, entrepreneurial and dynamic environment, as well as working in an agile manner. The ability to manage multiple transactions, take on new responsibilities and handle novel issues is critical.
Responsibilities include:
Independently managing, including drafting and negotiating, a wide range of digital transactions, in support of the Company’s initiatives
Counseling and advising client groups on complex legal issues that relate to transactions supporting new and existing products and platforms
Collaborating with subject matter experts and stakeholders as part of risk management.
Managing and coordinating outside counsel, when necessary
Implementing and monitoring repeatable, controlled processes for transactional work
Our ideal candidate will have the following experience and skills:
Experience providing significant transactional support to clients in the financial services industry
Ability to work effectively both in teams and independently, manage multiple projects, make effective decisions and collaborate with clients
Ability to work in a fast-paced environment with minimal supervision
Exceptional negotiation skills and the ability to identify, lead and manage a negotiation team
Excellent organizational skills with impeccable attention to detail
Excellent analytical, oral and written communication skills
Basic Qualifications:
Juris Doctor from an accredited law school
Active member in good standing of at least one state bar
At least 6 years of transactional experience in a law firm, in-house legal department, or a combination
At least 2 years of experience in digital, mobile, technology transactions, or a combination
Preferred Qualifications:
Experience with APIs, mobile apps, digital messaging, or software agreements
