Job Description

We are looking for a Corporate Transactions Counsel to join our innovative and growing legal team! As Corporate Transactions Counsel, you will serve a vital role to the company and report directly to the VP, Deputy General Counsel - Centralized Services. This is a great opportunity for a versatile corporate/transactional attorney who seeks diversity in their transactional practice, including corporate law and non-sales transactions. The successful candidate will serve as a valued and key partner with the Corporate, Treasury, and CAO departments. You should be prepared to provide legal support for corporate formation and entity management, mergers and acquisitions, treasury offerings and debt compliance in addition to other miscellaneous transactions related to real estate operations and fleet operations. As Corporate Transactions Counsel, your duties will include:

  • Providing legal advice and support for Corporate, Treasury and certain CAO departmental functions. CAO functions may include various real estate, fleet and procurement functions
  • Support the corporate entity management function
  • Provide M&A support
  • Support Treasury with securities offerings and debt covenant compliance
  • Provide general legal transactional assistance when requested 

Qualifications

WHAT IT TAKES TO CATCH OUR EYE:

  • JD degree and three or more years of relevant and recent work experience in any form of corporate or transactional legal role
  • Active and in good standing with a state bar and, if necessary, eligible for limited In-House Counsel Licensure
  • Excellent judgement
  • Strong writing skills with an eye for detail
