Corporate Securities and Commercial Counsel
We are looking for an experienced attorney to help our growing legal team on a wide array of corporate and commercial matters. Located in Phoenix, Arizona, you will collaborate directly with VP, Deputy General and Senior Corporate Counsels as well as our other cross-functional partners, including finance and accounting, HR, investor relations and communications. This is a great opportunity for a seasoned attorney to make an important contribution to a dynamic legal team.
What You Get To Do Every Day
- Assist on corporate finance and securities law matters, including SOX compliance and preparing SEC filings such as Forms 10-K, 10-Q, 8-K and Section 16 reporting
- Draft commercial contracts, including consignor agreements, license agreements, custom development and intellectual property agreements
- Support real estate negotiations and agreements
- Support on various governance matters, including 10b5-1 plans, insider trading policies, approvals and compliance
- Support on regulatory tracking, third party due diligence and post-contract monitoring assistance
- Assist in creating and improving processes, agreements and document templates
- Support various business projects across the company
- Develop strong relationships across the company by collaborating with cross-functional teams, including finance, accounting, HR, investor relations and communications
What You Bring To The Role
- Strong business judgement and the ability to find practical and creative solutions to both legal and business problems
- Willing to jump in with a team player mindset (no job is too big or too small)
- Able to work well with a small tightly-knit team and interact effectively across all levels
- Balance multiple projects simultaneously with strong follow through and work autonomously
- J.D. from an accredited university
- Membership in at least one state bar
- 6+ years relevant legal experience
- Experience at highly-rated law firm preferred
