We are looking for an outstanding Corporate Counsel/Senior Corporate Counsel (DOE) to join Uniphore’s dynamic and collaborative legal team. This is an opportunity to join a team which is still small enough for you to make an impact on Day 1, with significant growth potential ahead. The person in this role will be a key hire for Uniphore and have the ability to make a significant impact on the business and to gain exposure to all aspects of the in-house work performed by the legal team. This role will report directly to Uniphore’s General Counsel

Primary Responsibilities:

  • Review, draft, and negotiate a wide range of agreements related to Uniphore’s business, including customer, vendor, reseller, and strategic partner agreements.
  • Manage Uniphore’s international expansion efforts, including compliance requirements of all overseas subsidiaries.
  • Partner with our CISO to manage and maintain the Company’s privacy program. 
  • Collaborate with the People Team on employment law matters for our global and distributed organization, including the preparation and review of employment policies and employment agreements. 
  • Assist with corporate governance, capitalization management, IP strategy, mergers and acquisitions, and other matters under the purview of the General Counsel.
  • Counsel internal clients on legal issues that arise in the course of Uniphore’s business, including the ability to influence and drive consensus across different departments.
  • Advise and partner with the General Counsel on issues novel to Uniphore’s business, with the ability to research, provide recommendations based on such research, and drive issues to conclusion. 

Required Experience:

  •  3+ years of relevant experience in a law firm or in-house legal team working on corporate governance, equity matters, M&A and/or other strategic transactional matters.
  •  J.D. from an accredited law school.
  • Active admission to the California State Bar.
  • Ability and desire to do hands-on legal work while relying on outside counsel judiciously rather than routinely.
  • Team player with exceptional people skills who has the demonstrated ability to collaborate and build strong relationships at all levels of an organization.
  •  Pragmatic, business focus with an understanding of business goals, and the ability to creatively manage risk.
  • Strong attention to detail with the ability to handle sensitive and confidential information at the highest level.
  •  Ability to work under pressure, while prioritizing workload and managing risk in a fast-moving environment.
  • Outstanding legal and business judgment, capable of making smart decisions in ambiguous situations.
  •  Comfortable working autonomously on matters for which you may not be an expert.
  • Experience working with international teams.

Nice to Have:

  • Experience with employment matters in a fast-growing environment.
  • Working knowledge of stock options, RSUs and other equity vehicles.
  • Experience with technology agreements, particularly B2B SaaS transactions.
