Corporate Counsel
We are searching for a talented Corporate Counsel to handle our company’s legal transactions, contracts, and projects. As our corporate counsel, you will ensure Snapsheet’s contracts are built to minimize risk and will work with the team to ensure we remain compliant throughout the duration of our contracts. You will review transactions for compliance with laws and regulations to help Snapsheet prevent potential legal risks and violations.
Other duties will include consulting and assisting with all corporate legal processes such as customer, partner and vendor contracts; equity matters; compliance with business licenses; and other legal transactions and situations as they arise. The successful candidate will have outstanding negotiation and communication skills, with sharp attention to detail.
Responsibilities:
- Provide legal support and guidance around contract negotiation and execution.
- Review drafts of agreements based upon contracting standards and unique deal terms or requests.
- Review contract redlines, comments, or issues, and suggest alternative language and responses.
- Ensure consistency with contract templates and track renewals.
- Identify and escalate potential risks in contracts during negotiation.
- Act as a point person for the collection of information, feedback, and approvals from internal stakeholders (e.g., business development, finance, procurement, R&D, etc.) to verify terms during the contracting process.
- Provide contract interpretation to internal clients and participate in substantive negotiation and business calls as needed.
- Work with global customer contracts, including Master Service Agreements, Software-as-a-Service License Agreements, Statements of Work, Non-Disclosure Agreements, contract amendments, Service Level Agreements, etc.
- Review and negotiate vendor agreements with suppliers.
- Represent the company in any legal proceedings that may arise.
- Design and oversee the company’s policy and position on legal matters.
- Protect the company against legal risks and violations.
- Examine the legal issues related to new products and services.
- Guide management on regulatory and compliance issues to ensure compliance with legal regulations.
- Monitor company performance against SLAs and other contract obligations.
- Manage company business licenses.
- Other projects as needed.
Requirements:
- JD in Law.
- Admission to the Illinois State Bar preferred.
- Experience with global contracts and familiarity with GDPR compliance, Standard Contractual Clauses, as well as SOC audit requirements.
- A minimum of 5 years’ experience as a corporate lawyer.
- Experience with SaaS contracts.
- Excellent communication skills, both verbally and in writing.
- Highly analytical with strong attention to detail.
- Outstanding managerial and negotiation skills.
