In this role, we are seeking a Corporate Counsel to join our expanding legal team. Reporting to the General Counsel, you will provide hands-on legal counsel to all levels of the organization, be responsible for identifying and analyzing legal issues, drafting and reviewing key corporate and commercial contracts (master services agreements, statements of work, partnership agreements, service level agreement terms, business associate agreements, nondisclosure agreements, vendor agreements and other contracts), presenting clear recommendations, and ensuring legal compliance. Strong drafting skills are a must, and experience with a variety of healthcare industry and technology industry concepts is preferred. The position will involve regular collaboration with sales and commercial colleagues and various levels of company management.

Responsibilities

  • Provide legal support for Verana’s commercial activity with a focus on negotiating and drafting master services agreements, statements of work, business associate agreements and related services transactions in the healthcare industry.
  • Review and negotiate various corporate and vendor agreements, including nondisclosure agreements and SaaS agreements.
  • Be a company resource for contract related questions and processes.
  • Identify and analyze health care regulatory considerations and propose risk mitigating solutions. 
  • Advise management on compliance with applicable corporate policies and procedures, and a wide range of legal, regulatory and compliance matters.
  • Work cross functionally with various departments to meet business objectives.
  • Develop and maintain updated template agreements that reflect Verana’s new and evolving products and services.
  • Implement and manage a company-wide corporate records retention process.
  • Lead the effort to establish a contracts management system and request process to streamline contract operations

Requirements

  • JD degree and member in good standing of any state bar.
  • 5-7 years of healthcare regulatory and/or health care transactional experience.
  • Experience with general business contracting.
  • Experience with technology transactions, data use and clinical trials agreements is a plus.
  • Ability to negotiate independently with business partners on matters of strategic importance that affect a substantial portion of the business or matters of significant importance to senior management.
  • Excellent contract drafting and negotiation skills.
  • Superior oral and written communication skills.
  • Ability to prioritize and manage multiple projects.
