About the job

This position is needed to support our M&A, investment and other corporate development activities by leading mergers and acquisitions and legal department integration matters, including the due diligence process, negotiation of term sheets and definitive transaction agreements and M&A playbooks and related support projects. As Corporate Counsel you will also support Twilio’s antitrust compliance efforts and other general corporate matters. As we expand our product and service offerings, your ideas and contributions will affect Twilio’s overall strategy.

Responsibilities

In this role, you’ll:

  • Lead mergers and acquisitions and other strategic transactions in all stages, from performing due diligence, drafting and negotiating term sheets and definitive transaction documentation, and supporting closing transactions and post-closing integration.
  • Engage with corporate development, executive deal sponsors and senior business and functional leaders to drive deal structuring and issue resolution.
  • Draft and help prepare M&A related board and committee meeting materials.
  • Work on antitrust compliance issues including HSR filings and governmental responses.
  • Collaborate and build strong relationships with cross-functional teams, including finance, tax, IR, stock admin, accounting, people, corporate development,  and product to manage corporate transactions and initiatives.

Required:

  • JD and membership in at least one state bar.
  • Minimum 4 years of experience handling complex M&A and other corporate transactions for either a big law firm or a public company in a demanding and innovative legal environment.
  • Ability to be the primary in-house attorney on certain corporate projects, including handling multiple simultaneous transactions or projects.
  • Ability to drive continuous improvements, scalability and operational excellence in deal processes, execution and integration.
  • Ability to quickly assess business challenges, make timely, pragmatic recommendations under pressure and identify, prioritize and resolve issues quickly and independently while balancing legal risks against business interests.

Desired:

  • A combination of both in-house and law firm practice experience with an AmLaw 100 firm is preferred, primarily in M&A and venture capital or investment transactions.
  • Prior experience working in the Technology Industry preferred.
  • Flexibility to assist the corporate legal team in its activities and its mission as needs arise.
  • Ability to work autonomously, multi-task and perform effectively in a fast-paced environment.
  • Bonus if prior work experience in business, finance or tech, or an MBA or advanced degree in finance.

Location 

This role will be remote.

Approximately 5% travel is anticipated.

  • The estimated pay range for this role, based in Colorado, is $127,960.00 - $182,800.00.
  • Sales Commission: Additionally, this role is eligible to earn commissions and eligible to participate in Twilio's equity plan.
  • Non-Sales: Additionally, this role is eligible to participate in Twilio's equity plan.

The successful candidate’s starting salary will be determined based on permissible, non-discriminatory factors such as skills, experience, and geographic location within the state. This role is also eligible to participate in Twilio’s equity plan and for the following benefits: health care insurance, 401(k) retirement account, paid sick time, paid personal time off, paid parental leave.
