Varsity Tutors, a Nerdy Company,  is searching for a Corporate Attorney to join its growing in-house legal team and provide legal support under the direction of the Chief Legal Officer and Corporate Secretary. The Corporate Attorney will be responsible for contract drafting/editing with external customers (including government entities, such as K-12 public school districts, and corporate customers),  reviewing/negotiating vendor contracts, ongoing legal and regulatory compliance, serving the Company’s internal customers, and helping cover a wide variety of legal issues as needed. Familiarity with government contracting/procurement requirements, negotiations, and processes is preferred.  The person in this role will work closely with the in-house legal team and the K-12 institutional partnerships team.

Qualifications

  • J.D. from an accredited law school and licensed to practice law in at least one US jurisdiction
  • 3+ years of prior work experience in law firm or in-house, preferably in contract negotiation, although experience in broader or diverse areas of law preferred (as legal work may include corporate/transaction, SOX compliance, privacy laws such as FERPA, M&A, investor relations, executive compensation, benefits, employment, corporate governance, IP (primarily copyright and TM), real estate, litigation, marketing/sales compliance, and International transactions/laws)
  • Demonstrated ability to perform legal research and analysis as requested and make written recommendations regarding courses of action to the Chief Legal Officer and other members of the legal and operational teams
  • Ability to prioritize and manage numerous tasks quickly, accurately, and efficiently in a fast-paced environment and under deadline pressure
  • Ability to work in and maintain a highly confidential and privileged environment
  • Strong presentation and negotiation skills, solid business instincts and judgment, and outstanding written and verbal communication skills
  • Familiarity with Google applications and other office-related technologies
  • Ability to work independently with strong drive and motivation to achieve results
  • Familiarity with FERPA and other regulatory requirements for government contracting and procurement processes preferred

Responsibilities

  • General legal advice to Chief Legal Officer and K-12 institutional partnerships team
  • Drafting, reviewing, and negotiating sales agreements, general contracts, third-party agreements, and vendor/supplier relationships
  • Create business-oriented legal reports and correspondence and effectively present legal information to senior management
  • Develop information and obtain materials relevant to the objectives determined by the Legal Department
  • Analyze and draft legal memoranda assessing the merits and respective legal risks and opportunities with focus of different problem-solving approaches
  • Strong desire to learn about business and function within an in-house legal team
  • Understanding legal issues facing platform or marketplace companies
  • Provide timely and practical legal support to different business groups and units
  • Other duties as may be assigned
