About the Position

Contrast Security is looking for a Contract Attorney who can thrive in a fast-paced environment. You will have a broad range of responsibilities, providing legal support and day-to-day advice and negotiation of customer contracts, which will focus on our SaaS and On Premise solutions, as well as vendor contracts. You must be a self-motivated team player with the ability to identify and resolve legal issues, balance legal and business concerns, and draft and negotiate agreements.

 

As a Contract Attorney, you will provide expertise in negotiating and drafting a variety of business-to-business contracts. Generally, these contracts will be connected to the SaaS and On-Premise subscription services Contrast offers, but will also include professional services, data protection and other agreements. Assisting within the Legal Department, you will be responsible for end-to-end contract review. You will review, draft, structure, markup, and negotiate contractual language, educate stakeholders on the risks and benefits of contractual language and advise on negotiation strategy.

Responsibilities

  • Interface with Sales, Sales Ops, Support, Finance, and Compliance teams as well as other departments regarding the development and negotiation of a wide variety of sales, reseller, distributor, partnership, professional services, and support agreements for both cloud-based and on-premise offerings.
  • Support the broader organization on any agreement Contrast Security is considering entering into including agreements with channel partners, vendors for materials & services, non-disclosure agreements, data protection and others as needed.
  • Support the development and implementation of standardized processes and procedures.
  • Maintain and utilize document management systems.
  • Ensure Contrast Security is meeting its contractual obligations on an ongoing basis.
  • Identify risks and legal and contractual issues across the organization.
  • Contract Review:

  • Review, mark-up, draft and approve a diverse variety of purchase contracts, amendments and extensions
  • Lead and assist in structuring contractual agreements
  • Communicate at all levels of the organization to inform of contractual risks, benefits and negotiation status
  • Collaborate with Legal, Procurement and other stakeholder groups to ensure contract review is consistent with Contrast Security policy and appropriately escalate issues
  • Negotiation:

  • Represent Contrast Security in negotiations with customers and suppliers
  • Articulate and explain Contrast’s rationale behind its contractual positions
  • Maintain collaborative relationships and manage conflict while effectively resolving contractual issues and disagreements
  • Pragmatically strike compromises and seek solutions and draft language accordingly
  • Communicate internally to inform stakeholders of trade-offs and drive alignment
  • Contract Innovation:

  • Combine business and legal expertise to contribute to initiatives to create innovative contract solutions
  • Assist in revising and updating contract playbooks and policies
  • Lead process improvement initiatives

Qualifications

  • Experience in enterprise software, SaaS or cloud-based service offerings required
  • Data privacy experience is preferred
  • Bachelor's Degree - Legal degree required
  • Minimum 3 years of prior experience in similar roles preferred
  • Ability to distill complex concepts into clear contractual language
  • Possess excellent verbal and written communication skills and the ability to interact professionally with a diverse group of executives, managers and subject matter experts
  • Ability to work well in a dynamic, fast-changing environment that requires a high degree of multitasking with minimal supervision
  • Familiarity with intellectual property is a plus
  • Experience with channel programs is a plus
  • Strong drafting and negotiation skills
  • Superb attention to detail
  • Ability to successfully manage competing priorities
  • Flexibility and ability to respond promptly
  • A team-oriented work style yet able to work independently
  • Sound business judgment
  • Experience with a start-up is a plus
