Job Description 

Associate/Assistant General Counsel is responsible for providing a broad range of healthcare and corporate legal services with a strong emphasis on healthcare transactions, employment law, business and commercial contracting, employment law, and risk mitigation. The Associate General Counsel must also spend time as a generalist on other legal issues as they arise. This position will report to the General Counsel.

Position Description / Duties

  • Advise and educate management on a variety of legal issues relating to general corporate matters including healthcare regulatory compliance, reimbursement, tax-exemption, anti-trust, corporate governance, risk management, finance, branding, vendor contracting, real estate and facilities, intellectual property, information technology, mergers and acquisitions, and labor/employment
  • Accurately and efficiently draft, review and negotiate contracts, such as employment agreements, service agreements, affiliation agreements, business associate agreements, corporate documents, vendor agreements, NDAs, SaaS license agreements, release and/or settlement agreements, data use agreements, consumer consents, technology, and transfer agreements
  • Counsels on employment law issues, leaves of absence, wage and hour issues, and benefits
  • Advising on the full lifecycle of merger and acquisition transactions as well as strategic transactions, joint ventures etc., from initial structuring and letter of intent, through due diligence, deal structuring, negotiation, and closing
  • Preparing and reviewing disclosure schedules, tracking diligence materials, and creating and updating supplemental request lists
  • Handling contract negotiations and integration and transition service agreements
  • Draft term sheets and other preliminary documentation
  • Conducts investigations, drafts responses to administrative charges, and provides input on policies, procedures, and employee handbooks
  • Keeps up to date on new and pending federal and state legislation, rules and regulations, and industry developments in the area of employment law
  • Advises and collaborates with key leaders to develop new processes, identifies and mitigates legal issues, and assists in crafting solutions to protect the company's interests
  • Conducts legal research and analysis to provide recommendations and prepares written opinions and guidance for management teams
  • Provide general legal support for various corporate service areas, such as Marketing, Communications, Finance, Client Services, Privacy, Risk Management, Audit Services, Compliance and Accounting
  • Contribute with respect to operational decisions and related business considerations within the legal framework
  • Conduct legal research as necessary to perform job duties
  • Work with outside counsel in managing litigation (e.g., employment, workers compensation, and other legal conflicts

Required Qualifications:

  • 3+ years of healthcare, in-house and/or reputable law firm experience with expertise in healthcare regulatory, general corporate, transactional, intellectual property, M&A, labor and employment, and compliance issues
  • Strong analytical skills combined with a practical, business-oriented and strategic approach
  • Strong contract drafting and negotiation skills
  • Experience in health IT sector, including deep knowledge of HIPAA, HITECH, and healthcare fraud and abuse laws
  • Flexibility and willingness to work on a broad variety of legal matters
  • Be comfortable in an extremely fast-paced environment under tight timelines and successfully multitask and manage several projects simultaneously
  • Excellent verbal and written communication skills

Education/Licensure:

  • Juris Doctorate Law degree from an accredited law school
  • U.S. state bar admission, in good standing
