Acquia is seeking an experienced and motivated Associate General Counsel to join our dynamic, fun, collaborative, and team-focused company. The Associate General Counsel will focus on drafting and negotiating complex commercial transactions (PaaS and SaaS offerings, BAAs, and DPAs) and support other legal matters that may arise. This position is located in our Boston, MA headquarters.

RESPONSIBILITIES
- Review and negotiate complex customer sales contracts (Subscription Services Agreements for PaaS and SaaS hosted offerings, data protection agreements and business associate agreements) that meet the company’s requirements under its policies, including those for risk tolerance, while working collaboratively with the business team, including executives.
- Review and negotiate partner and corporate development agreements.
- Collaborate with revenue finance team, sales operations, product operations, support, security and other business units at all levels throughout the organization to ensure that agreements adequately protect the company’s interests.
- Provide legal advice to sales department on a day-to-day basis; provide training to sales teams.
- Support the continuous improvement of standard forms of agreement and legal processes.
- Be a trusted business partner providing timely, thoughtful and helpful responses to requests from internal customers.
- Counsel internal customers regarding company policies, legal issues, and risk tolerance.
EDUCATION/ACCREDITATION
- Doctor of Law degree (J.D.)
- Member of Massachusetts or other state bar in good standing
EXPERIENCE AND SPECIFIC SKILLS
- Minimum 3 years’ relevant practice experience in corporate legal department and/or law firm, preferably with high-growth or startup technology companies dealing with commercial transactions.
- Experience of providing legal support to a sales team.
- Strong experience negotiating complex commercial transactions within tight time and commercial constraints. Ability to quickly understand business needs and act to influence and persuade others in a manner that protects the company and aids in meeting/exceeding our revenue targets and maintaining a competitive edge.
- Demonstrated success in managing multiple transactions in compliance with company policy.
- Exceptional interpersonal skills and a commitment to professionalism and collegiality.
- Well-organized and detail-oriented with an outstanding work ethic; should be able to independently manage and successfully prioritize numerous projects under deadline pressure.
- Flexibility and willingness to work on a broad variety of legal matters.
- A non-hierarchical and low ego team-player who is comfortable operating in an entrepreneurial and fast-paced environment and used to very busy peak times at quarter ends.
- Mature individual with good judgment who is pragmatic and solution oriented. A genuine business partner who will provide commercially-focused advice which balances appropriate legal risk management with the need to enable and support the business.
- Outstanding organizational and project management skills.
- Ability to influence major decisions having legal ramifications through reasoned analysis and business understanding.
- Demonstrable ability to understand technical issues quickly; possessing strong analytical and problem-solving skills and demonstrating a strong ability to prioritize.
- Deeper knowledge in relation to data protection law and familiarity with current developments a plus.
