Job Description:
The M&A TSA Manager will report to the Senior Director, Global M&A Integration and Separation while supporting the broader ISMO as needed. The TSA PM plays a crucial role in identifying, validating, costing, and managing the seamless transition of services, systems, tools and processes from Seller to Buyer during a divestiture - from pre-Sign through the Transition Services Agreement (TSA) period and finally end-state separation.
This role requires robust project management, problem-solving, collaboration and communication skills to influence across all levels, functions, and hierarchical structures with influence and decisiveness. Actively separating a business requires working with and across critical functions including IT, Cyber, Lead 2 Cash, Procurement and Finance, among others. The ability to cope with ambiguity, high peak workloads, and tight deadlines is a must. Expertise in billing / invoicing is preferred.
Key Responsibilities:
Planning and Coordination: Create a detailed plan that enables successful separation of a BU / product line / select assets from HPE, identifying key milestones, and coordinating activities between the Buyer and the Seller.
Service Inventory: Directs comprehensive service inventories to 1) prioritize critical assets for transfer 2) define data migration needs and parameters 3) effectively cost each service / tool, and 4) ensure post-transition operational continuity.
Stakeholder Management: Manages and influence relationships with key buyer and seller stakeholders, utilizing formal governance and regular meetings.
Risk Management: Identifies potential risks (operational disruptions, data security issues, or legal/regulatory compliance challenges) and develops effective mitigation strategies.
Contract Management: Ensures billing agreements and operational mechanisms in compliance with contractual obligations (Asset Purchase Agreement) and TSA terms and conditions.
Resource Allocation: Coordinates resources from both organizations to support the transition process.
Issue Resolution: Addresses issues or conflicts that arise promptly and effectively; facilitates discussions between the parties involved and find mutually acceptable solutions.
Documentation and Reporting: Maintain detailed documentation of the transition process, including TSA costing, tracking, and adhering to stated budgets. Provides regular progress updates to the broader ISMO, Executive Steering Committee, and HPE RemainCo senior management as required.
Knowledge Transfer: Facilitates the transfer of knowledge and expertise before rolling off each project (training sessions, documentation reviews, ongoing support).
Post-Transition Support: Supports both Buyer and Seller after the transition period to address any lingering issues or concerns; conducts post-mortem reviews.
Education and Experience Required:
Typically 10+ years total experience in strategy, planning, operations, finance, or related functional area. Advanced university degree required (e.g., MBA) or demonstrable equivalent experience.
Knowledge and Skills:
Excellent analytical thinking, technical analysis, and data manipulation skills.
Ability to leverage new analytical techniques to develop creative approaches and insights.
Extensive knowledge of how to analyze business problems using Excel, Access, statistical analysis, and financial modeling.
Superior business acumen and technical knowledge within area of responsibility.
Excellent verbal and written communication skills, including negotiation and influence skills.
Excellent project management skills, including leading large, cross-functional initiatives that impact the organization.
Strong relationship management skills, including partnering and consulting.
