As part of RSM's Deal Strategy Team, you will be working with experienced M&A professionals focused on supporting clients in a wide range of transactions for middle-market North American and International businesses. Our primary focus is to provide value-added support to business owners, senior executives or investors in achieving a successful deal outcome.

From assessing the impact of a new growth strategy, to scenario analysis of an acquisition or divestment, to securing new growth capital and assessing the impact on cash flows, to helping business owners maximize valuations when preparing for an exit, the Deal Strategy Team provides clients with the tools and support to make informed decisions to optimize value throughout the transaction life cycle.

Our Deal Strategy team is looking for a Senior Associate to join our team. You will assist with duties lead by the Partners and Directors. Working with other Associates, Senior Associates and Managers, as the case may be, to prioritize workloads in order to meet client requirements and own the following responsibilities:

  • Developing, reviewing and evaluating financial models (including financial projections, DCF, merger analysis, etc.) within broadly defined guidelines, focusing on major assumptions for projections, scenarios analysis and comparisons to historical results
  • Compiling and evaluating company and industry data from key information sources including Capital IQ, Pitchbook, Company Reports and Financial Statements and industry sources
  • Identifying key financial and operational issues, results and trends and report on key findings that may impact a potential transaction
  • Assisting with the preparation of go-to-market materials and other key documents, such as investor presentations, information memoranda, customized reports to senior executives, etc.
  • Assisting with the preparation of research, financial analysis and other required components for regular marketing materials, articles and other pieces
  • Assisting with the preparation of ad-hoc financial analysis as required for transaction processes
  • Preparing target lists of potential investors or buyers based on information sources and general internet searches
  • Processing financial statements, general ledger and trial balances to evaluate historical financial performance, including sustainable earnings, working capital, etc., to uncover performance issues/trends
  • Assisting with the maintenance of data rooms for due diligence processes
  • Preparing and assisting with internal memos, proposals and presentations to clients
  • Liaise with internal RSM staff in order to complete client engagements, including staff from other RSM office locations
  • Assist with other ad-hoc sell-side and deal management tasks as required


Experience/Requirements:

  • Bachelor's Degree in Accounting, Finance or other related degree
  • Minimum of 2-3 years' experience, preferably within a public accounting firm or investment bank
  • Strong financial modeling skills with ability to structure fully integrated financial models
  • Strong project management skills
  • Ability to lead by example and mentor junior team members
  • Ability to quickly grasps and understand 'big picture' requirements for client engagements
  • Excellent communication skills in order to interact effectively with RSM team members and external clients of the firm
  • Ability to travel (20-30%) (in non-pandemic environment)
  • Ability to be a self-starter
