The Role
Wells Fargo is seeking an Assistant General Counsel to join the Corporate Governance Division of the Legal Department. The Assistant General Counsel will have primary responsibility for the preparation of the Company's proxy statement and execution of the annual shareholder meeting and related processes.
In this role, you will:
  • Lead the preparation of the Wells Fargo proxy statement and annual report and related processes
  • Manage all aspects of the proxy solicitation and annual meeting process
  • Draft significant portions of the proxy statement, including disclosures on corporate governance
  • Support and coordinate with other team members on matters overseen by the governance and nominating committee relating to the proxy statement and annual shareholders meeting, including drafting and reviewing resolutions and board and committee meeting materials
  • Coordinate with other team members on shareholder proposals and statements in opposition
  • Assist the Corporate Secretary in the development, implementation and maintenance of corporate policies, governance processes and procedures and related risk & control controls and procedures relating to the proxy statement and annual shareholder meeting
  • Conduct benchmarking and legal research on a variety of corporate governance matters
  • Monitor developments in, and guide, governance practices and policies for the Company
  • Advise on external governance trends, SEC and NYSE developments, and best practices
  • Proactively identify and analyze policy, legal, and regulatory matters related to area of expertise
  • Independently resolve complex issues and lead team to meet deliverables
  • Collaborate within the department and across business and staff functions to address legal and risk issues in a manner consistent with the best interests of Wells Fargo
  • Lead initiatives of varying scope and complexity
  • Manage outside counsel and other service providers
Required Qualifications:
  • 7+ years of Law experience, or equivalent demonstrated through one or a combination of the following: work experience, training, military experience, education
  • Active State Bar membership or the equivalent in a country outside the United States
Desired Qualifications:
  • Deep knowledge of requirements relating to proxy statements and annual shareholder meetings
  • Proven collaboration skills with the ability to interface with internal stakeholders, external trade associations, and legal subject matter experts across the enterprise
  • Demonstrated experience advising senior management
  • Ability to analyze complex legal issues and develop and execute risk-focused solutions
  • Excellent verbal, written and interpersonal communication skills
  • Strong analytical skills with high attention to detail and accuracy
  • Strong organizational, multi-tasking and prioritizing skills
  • Experience with legal issues specific to corporate governance, Delaware General Corporate Law and exchange listing standards
  • Experience drafting and reviewing minutes, resolutions and board & committee meeting materials
  • "Always learning" attitude about emerging trends and risks in corporate governance
  • Experience as a practicing attorney
  • Ability to work effectively in a complex environment with a high degree of collaboration
Job Expectations:
  • Position will require onsite presence in a hybrid work schedule
  • This position is not eligible for Visa sponsorship

Pay Range
Reflected is the base pay range offered for this position. Pay may vary depending on factors including but not limited to achievements, skills, experience, or work location. The range listed is just one component of the compensation package offered to candidates.
Salary is just one component of Wells Fargo's total rewards package. Depending on the role, a Wells Fargo's employee may be eligible for additional forms of compensation, such as sales incentives, discretionary bonuses, and/or equity in the company in the form of Restricted Stock Units (RSUs).
$215,000.00 - $355,000.00
